Governance Explanations

Form 990, Part VI, Section A, Line 6

Form 990, Part VI, Section A, Line 7A

Founding members elect the board of directors of drive forward.

Form 990, Part VI, Section A, Line 7B

Founding members are each entitled to one vote. Founding members have the right to approve extraordinary actions such as amendments to organizational documents, merger, and sale of all or substantially all of the assets, distribution of the assets, and dissolution of drive forward and revocation of dissolution of drive forward. Founding members may also vote on any other matters where the board of directors seek their approval.

Form 990, Part VI, Section A, Line 8B

There were no committees with authority to act on behalf of the governing body.

Form 990, Part VI, Section B, Line 11B

The draft form 990 will be given to the board of directors for their review and comment prior to execution of the form 990 by an officer of drive forward.

Form 990, Part VI, Section B, Line 12C

Drive forward annually reviews the conflict of interest policy with the officers and directors. If an officer or director believes there is a conflict of interest, the officer or director will promptly report the potential conflict to the board.

Form 990, Part VI, Section B, Line 15A

One of the directors was tasked with determining a range of reasonable compensation for the executive director position. He reviewed compensation information for comparable types of positions and factored in the skills and background of the executive director. Each of the directors them discussed and approved appropriate compensation for the executive director.

Form 990, Part VI, Section C, Line 19

Additional Explanations

Form 990, Part I, Line 6

The above number was calculated by approximating the number of unique participants who attended events and activities to support drive forward's mission. These efforts included meeting with elected officials at the local and state level to lobby for particular legislation, holding protests to raise public awareness of certain issues, participating in member engagement events, and serving on the driver advisory committee, which helps lead the organization. Volunteers contributed anywhere from 1-50 hours.

IRS990/ProgSrvcAccomActy2Grp/Desc0DRIVER ENGAGEMENT - DRIVE FORWARD INVESTED IN ENGAGING DRIVERS AND GROWING ITS MEMBERSHIP THROUGH VARIOUS MEANS. THE ORGANIZATION RECRUITED 1,500 NEW MEMBERS THROUGH INFORMATION SESSIONS, DRIVER EVENTS, TARGETED ONLINE ADS, AND WORD OF MOUTH. DRIVE FORWARD HELD EVENTS THROUGHOUT THE YEAR INCLUDING GENERAL MEMBERSHIP MEETINGS TO EDUCATE DRIVERS ON THE IMPACTS OF SEATTLE'S COLLECTIVE BARGAINING ORDINANCE AND TO UPDATE DRIVERS ON OTHER ISSUES THAT IMPACT DRIVERS SUCH AS FARE REGULATION AND SAFE PICKUP AND DROP OFF ZONES. THE ORGANIZATION ALSO HELD COMMUNITY BUILDING EVENTS THAT INCLUDED AN OFFICE OPENING PARTY, BOWLING NIGHT, HOLIDAY PARTY, AND APPRECIATION DINNER FOR OUR MOST ACTIVE MEMBERS.
IRS990/ProgSrvcAccomActy3Grp/Desc0LOBBYING/ADVOCACY - MEMBERS OF DRIVE FORWARD ENGAGED IN LOBBYING AT VARIOUS LEVELS OF GOVERNMENT TO ADVOCATE FOR LAWS AND REGULATIONS THAT HAVE A POSITIVE IMPACT ON INDEPENDENT RIDESHARE, TAXI, AND FOR-HIRE DRIVERS. THIS INCLUDED MEETING WITH STATE LEGISLATORS IN OLYMPIA TO ADVOCATE FOR STATEWIDE TRANSPORTATION NETWORK COMPANY (TNC) REGULATIONS. THE BILL PASSED THE STATE SENATE WITH WIDE BIPARTISAN SUPPORT BUT DID NOT RECEIVE A HEARING IN THE HOUSE IN 2017. A SIMILAR BILL WAS REINTRODUCED IN THE 2018 LEGISLATIVE SESSION. MEMBERS ALSO LOBBIED SEATTLE CITY COUNCILMEMBERS AND THE SEATTLE DEPARTMENT OF TRANSPORTATION FOR SAFE PICKUP AND DROP OFF ZONES IN THE DOWNTOWN SEATTLE AREA TO IMPROVE SAFETY FOR DRIVERS, RIDERS, AND OTHER USERS OF THE ROAD. THEY ALSO MET WITH THE MAYOR'S STAFF TO LOBBY AGAINST FARE REGULATIONS, WHICH WOULD SET TNC PRICES FOR RIDERS AT FIXED RATES LIKE TAXIS.
