Governance Explanations

Form 990, Part VI, Section B, Line 11B

Form 990 will be provided to the governing body for review before it is filed.

Form 990, Part VI, Section B, Line 12C

Procedures for addressing the conflict of interest:before any discussion and vote on whether a conflict of interest exists, an interested person may make a presentation to the board or the executive committee regarding the interested persons position or financial interest. After such presentation, the interested person will leave the meeting during the discussion of, and the vote on, the proposed transaction. The board or the executive committee will undertake appropriate due diligence and inform itself of all material information reasonably available to it and explore all reasonable alternatives to the proposed transaction that would not involve the conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not cont:producing a conflict of interest, the board or the executive committee will determine by a majority vote of the disinterested directors whether the proposed transaction is (i) in the funds best interest, (ii) for the funds own benefit, and (iii) fair and reasonable to the fund. In conformity with this determination, the board or the executive committee will make its decision as to whether the fund may enter into the proposed transaction.

IRS990/Desc0NEW FACE OF TECH SCHOLARSHIP - PROGRAM POWERED BY HARMAN SINCE ITS LAUNCH IN 2017, OVER $200,000 HAS BEEN GRANTED TO TALENTED YOUNG WOMEN PURSUING DEGREES IN S.T.E.A.M. IN THE FORM OF SCHOLARSHIPS. EACH WINNER ALSO GETS THE CHANCE TO BE CONNECTED WITH A HARMAN EXECUTIVE FOR A 60-MINUTE MENTORING SESSION. THE NEW FACE OF TECH CAMPAIGN HAS BEEN NAMED A FINALIST IN THE PRESTIGIOUS SHORTY SOCIAL GOOD AWARDS PROGRAM IN 2017, 2018, 2019, AND 2020. IN 2019, 2020, 2021, AND 2022, THE PROGRAM EXPANDED TO INCLUDE DIRECT LINKS TO INTERNSHIP AND JOB OPPORTUNITIES AT HARMAN. 1DFS PALIWAL CLUB OF 100 - WE PARTNERED WITH THE ILA AND DINESH PALIWAL FOUNDATION IN 2019 TO LAUNCH THE PALIWAL CLUB OF 100, A SCHOLARSHIP PROGRAM THAT FUNDS THE DREAMS OF 100 BUDDING LEADERS IN S.T.E.A.M. FIELDS OVER 10 YEARS. EACH TALENTED RECIPIENT RECEIVES A $1000 MICROGRANT TO PUT TOWARD HER FUTURE. IN 2021, WE EXPANDED THE PROGRAM TO OFFER ADDITIONAL SCHOLARSHIPS UNDER THE ORIGINAL PALIWAL CLUB OF 100 - STEAM SCHOLARS FUND AND ADDED A NEW FUND FOCUSED ON PROVIDING SCHOLARSHIPS TO WOMEN PURSUING CAREERS IN MUSIC UNDER THE PALIWAL CLUB OF 100 - MUSIC SCHOLARS FUND. OUR FUTURE PALIWAL CLUB OF 100 GRANTEES AIM TO SET THE STANDARD IN THEIR RESPECTIVE FIELDS. THEY WILL BE ABLE TO USE THEIR MICROGRANTS FOR LIFE-CHANGING OPPORTUNITIES LIKE CONFERENCE TRAVEL, TECH DEVICES, MUSIC AND ART EQUIPMENT, GROUNDBREAKING PROJECTS, AND MORE. 1DFS MENTORHER INITIATIVE - THIS NATIONAL INITIATIVE, LAUNCHED IN 2019, WAS CREATED TO RAISE AWARENESS ABOUT THE IMPORTANCE OF FEMALE MENTORSHIP. IN PARTNERSHIP WITH FOR-PROFIT AND NON-PROFIT ORGANIZATIONS ACROSS THE COUNTRY, MENTORHER PAIRS WOMEN IN COLLEGE, GRADUATE SCHOOL, OR RECENT GRADUATES WITH WELL-MATCHED PROFESSIONALS AND EXECUTIVES FOR A ONE-HOUR, ONE-ON-ONE MENTORSHIP SESSION. THE POSITIVE EFFECTS OF MENTORING PROGRAMS ARE WELL-DOCUMENTED, AND FOR YOUNG PEOPLE, THE IMPACT IS FAR-REACHING. ACCORDING TO THE NATIONAL MENTORING PARTNERSHIP, THOSE WITH MENTORS ARE 130% MORE LIKELY TO HOLD LEADERSHIP POSITIONS. ACCORDING TO 1DFS STATE OF THE AMERICAN GIRL RESEARCH, 70 PERCENT OF YOUNG AMERICAN WOMEN DO NOT HAVE A MENTOR. IT WAS WITH THESE FIGURES IN MIND THAT 1DF CREATED MENTORHER, AIMING TO ACCELERATE GROWTH IN WOMEN'S SUCCESS IN SCHOOL AND BEYOND. THROUGH A UNIQUE MATCHING PROCESS THAT ALIGNS CAREER GOALS AND BACKGROUNDS, PARTICIPATING STUDENTS ARE CONNECTED WITH EXPERIENCED PROFESSIONALS WHO CAN SHARE LESSONS FROM THEIR OWN CAREERS AND INSIGHTS INTO THEIR INDUSTRIES. HONORING THE EXECUTIVES' BUSY SCHEDULES, EACH MENTOR COMMITS TO MEETING ONCE, IN VIDEO CONFERENCE, FOR A SINGLE, HIGH-IMPACT, 60-MINUTE SESSION. IN 2021, 1DF SET A BOLD GOAL FOR THE MENTORHER INITIATIVE: OVER 1,000 HOURS OF MENTORSHIP SERVICE IN ONE YEAR TO HONOR 1DFS FOUNDING MISSION. WE LINED UP PARTNERSHIPS WITH THE FOLLOWING COMPANIES: COLGATE-PALMOLIVE, A GLOBAL CONSUMER PRODUCTS LEADER REIMAGINING A HEALTHIER FUTURE FOR ALL PEOPLE, THEIR PETS, AND OUR PLANET; ALLIED SPORTS, AN AWARD-WINNING GLOBAL ESPORTS ENTERTAINMENT COMPANY, AND THE OWNER AND OPERATOR OF THE HYPERX ESPORTS ARENA LAS VEGAS; HARMAN, WHICH DESIGNS AND ENGINEERS CONNECTED PRODUCTS AND SOLUTIONS FOR AUTOMAKERS, CONSUMERS, AND ENTERPRISES WORLDWIDE, INCLUDING CONNECTED CAR SYSTEMS, AUDIO AND VISUAL PRODUCTS, ENTERPRISE AUTOMATION SOLUTIONS, AND SERVICES SUPPORTING THE INTERNET OF THINGS; KENDRA SCOTT, A LIFESTYLE BRAND HEADQUARTERED IN AUSTIN, TX, PROVIDING GEMSTONE-INSPIRED COLLECTIONS THAT INCLUDE FASHION JEWELRY, FINE JEWELRY, HOME GOODS, AND BEAUTY; NAACP LEGAL DEFENSE AND EDUCATIONAL FUND, INC., AMERICA'S PREMIER LEGAL ORGANIZATION FIGHTING FOR RACIAL JUSTICE. TO DATE, OVER 500 HOURS OF MENTORSHIP SERVICE HAVE BEEN GENERATED THROUGH THE PROGRAM, WHICH INCLUDES ONE-ON-ONE MENTORSHIP AS WELL AS WORKSHOPS FEATURING GUEST SPEAKERS.

IRS990/ProgSrvcAccomActy2Grp/Desc0BROADCASTHER INITIATIVE - WE DESIGNED THIS CHARITY INITIATIVE TO DIRECTLY SUPPORT UNDERSERVED FEMALE CONTENT CREATORS AND INCLUDE SEVERAL CRITICAL PROGRAMS TO HELP REALIZE THIS MISSION. (1) THROUGH OUR 1000 DREAMS FUND TWITCH BROADCASTHER GRANT, IN PARTNERSHIP WITH THE TWITCH COMMUNITY, WE PROVIDE GRANTS RANGING FROM $500 TO $2000 TO UP-AND-COMING WOMEN CONTENT CREATORS. THIS PROGRAM, SPECIFICALLY CREATED IN 2018, HELPS THEM TRANSITION THEIR PASSION INTO A CAREER. THE GRANTS ARE INTENDED TO HELP RECIPIENTS PAY FOR NEEDS THAT ALIGN WITH 1DFS FUNDING MISSION, INCLUDING CONFERENCE TRAVEL, EQUIPMENT UPGRADES, WORKSHOPS, AND MORE. SINCE ITS LAUNCH, OVER $300,000 HAS BEEN GRANTED TO WOMEN CONTENT CREATORS. (2) OUR BROADCASTHER ACADEMY, A FELLOWSHIP PROGRAM FOR WOMEN IN ESPORTS AND GAMING, WAS LAUNCHED IN 2019 TO PROVIDE WOMEN WITH OPPORTUNITIES TO GAIN A CRUCIAL ADVANTAGE AND FIND EMPLOYMENT IN THE ESPORTS AND GAMING INDUSTRY. IN 2021, SEVERAL OF OUR FELLOWS WERE CONSIDERED FOR FULL-TIME EMPLOYMENT OPPORTUNITIES WITH OUR PARTNERS. IRS990/ProgSrvcAccomActy3Grp/Desc0MENTORHER INITIATIVE - THIS NATIONAL INITIATIVE, LAUNCHED IN 2019, WAS CREATED TO HELP RAISE AWARENESS ABOUT THE IMPORTANCE OF FEMALE MENTORSHIP. IN PARTNERSHIP WITH FOR-PROFIT AND NON-PROFIT ORGANIZATIONS ACROSS THE COUNTRY, MENTORHER PAIRS INDIVIDUAL WOMEN IN COLLEGE AND GRADUATE SCHOOL OR RECENT GRADUATES WITH WELL-MATCHED PROFESSIONALS AND EXECUTIVES FOR A ONE-HOUR, ONE-ON-ONE MENTORSHIP SESSION. THE POSITIVE EFFECTS OF MENTORING PROGRAMS ARE WELL DOCUMENTED, AND FOR YOUNG PEOPLE, THE IMPACT IS FAR-REACHING. ACCORDING TO THE NATIONAL MENTORING PARTNERSHIP, THOSE WITH MENTORS ARE 130% MORE LIKELY TO HOLD LEADERSHIP POSITIONS. ACCORDING TO 1DF'S STATE OF THE AMERICAN GIRL RESEARCH, 70 PERCENT OF YOUNG AMERICAN WOMEN DO NOT HAVE A MENTOR. HONORING THE EXECUTIVES' BUSY SCHEDULES, EACH MENTOR COMMITS TO MEET ONCE, IN A VIDEO CONFERENCE, FOR A SINGLE, HIGH-IMPACT, 60-MINUTE SESSION. IN 2021, 1DF SET A BOLD GOAL FOR THE MENTORHER INITIATIVE: OVER 1000 HOURS OF MENTORSHIP SERVICE TO HONOR 1DF'S FOUNDING MISSION AND LINED UP PARTNERSHIPS WITH THE FOLLOWING COMPANIES THUS FAR: COLGATE-PALMOLIVE, A GLOBAL CONSUMER PRODUCTS LEADER REIMAGINING A HEALTHIER FUTURE FOR ALL PEOPLE, THEIR PETS, AND OUR PLANET; ALLIED ESPORTS, AN AWARD-WINNING GLOBAL ESPORTS ENTERTAINMENT COMPANY AND THE OWNER AND OPERATOR OF THE HYPERX ESPORTS ARENA LAS VEGAS; HARMAN, WHICH DESIGNS AND ENGINEERS CONNECTED PRODUCTS AND SOLUTIONS FOR AUTOMAKERS, CONSUMERS, AND ENTERPRISES WORLDWIDE, INCLUDING CONNECTED CAR SYSTEMS, AUDIO AND VISUAL PRODUCTS, ENTERPRISE AUTOMATION SOLUTIONS, AND SERVICES SUPPORTING THE INTERNET OF THINGS; KENDRA SCOTT, A LIFESTYLE BRAND HEADQUARTERED IN AUSTIN, TX, PROVIDING GEMSTONE-INSPIRED COLLECTIONS THAT INCLUDE FASHION JEWELRY, FINE JEWELRY, HOME GOODS, AND BEAUTY; AND THE NAACP LEGAL DEFENSE AND EDUCATIONAL FUND, INC., AMERICA'S PREMIER LEGAL ORGANIZATION FIGHTING FOR RACIAL JUSTICE.
