To support the establishment and continuation of health care facilities located in rural and urban areas designated as a shortage area or that have a medically underserved population; to further the complementary missions of escambia community clinics, inc. (ecc), and to promote, support, and engage in any or all of the charitable, educational, and scientific efforts which are now or may hereafter be established by ecc.

The organization has two members, escambia community clinics, inc. And escambia community holdings, inc.

Form 990, Part VI, Section A, line 7A

The initial Board of Directors shall be identical to the Board of Directors for Escambia Community Clinics, Inc. (ECC), a member of the organization. Subsequently, the board of directors shall be elected by the board for ECC. The term of each Director shall be four years in length. The number of Directors shall not exceed twenty Directors.

The 990 will be presented to the Board at their monthly meeting prior to the return being filed.

Form 990, Part VI, Section B, line 12C

The conflict of interest policy requires that all perceived conflicts be disclosed promptly and fully to all necessary parties and will prohibit involvement in the affairs of the ORGANIZATION by persons having such conflicts. The Board members are required to complete a packet on an annual basis that includes the conflict of interest as well as other HRSA mandated items. There is a matrix kept with the Board minutes that shows when each Board member last returned their packet.

An exercise is performed where comparisons are made to like positions within the community as well as to salary surveys with both the National Association of Community Health Centers and the Florida Association of Community Health Centers that are published annually. These factors along with the performance evaluation are considered in annual salary decisions. It is the objective of the Board that the Executive Director is paid within the 40-50th percentile of comparable positions. THIS PROCESS IS USED FOR BOTH BASE SALARY AND YEAR-END BONUS DETERMINATIONS.
