Governance Explanations

Form 990, Part VI, Section A, Line 7A

The managing partner of alphamundi group, an unrelated company, serves ex officio as a director of the foundation, by rule of the bylaws, and is not elected by the foundation's board of directors.

Form 990, Part VI, Section A, Line 7B

The managing partner of alphamundi group, serving ex officio as a director of the foundation, must approve in writing any amendment to the articles of incorporation or the bylaws in order for such action to be effective.

Form 990, Part VI, Section B, Line 11B

The draft federal form 990 is prepared by an independent accounting firm and reviewed by the foundation leadership team. Afterwards, it is reviewed and approved by the foundation board of directors during the next quarterly meeting. Final approval from the board of directors is secured and documented with a signed and fully executed board resolution before filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The foundation follows its written conflict of interest policy by ensuring disclosure of all material facts concerning any potential conflict of interest, removing any individuals in a potential conflict of interest from participating in decision-making process for voting, and enforcing compliance through following the investigation, deliberation, and board of directors voting decision.

Form 990, Part VI, Section B, Line 15

The foundation carefully considers compensation packages for officers and key employees. Compensation is determined based on a combination of factors, including: market research and industry standards for the position, cost of living depending on location, years of experience, education level and skill set. Compensation packages for officers and key employees are reviewed and approved by the foundation leadership team and board of directors. Final approval is secured and documented with a signed and fully executed board resolution.

Form 990, Part VI, Section C, Line 19

The foundation will make its governing documents, conflict of interest policy, and financial statements available to the public, at its discretion, upon request.
