“Galloway, Baker, and Eurquhart, Inc. (GB&E) was the employer of record for all Durham for All staff members during 2023. GB&E filed all required tax forms such as W-2s. Durham for All's Board, by-laws, and organizational policies are its own. Because Durham for All directed its staff's activities independent of GB&E, the Durham for All staff employed by GB&E were treated as common law employees of Durham for All during 2023, and their compensation is reported as such on Durham for All's 990. Durham for All pays GB&E management service fees for human resources management.”

“On 12/14/23, Durham for All signed a merger agreement with Carolina Federation that took effect as of 11:59PM on 12/31/23. As Durham for All is the 'Merging company and Carolina Federation the 'Surviving company', Durham for All ceased to exist as a separate 501c4 organization at 11:59pm on 12/31/2023, and it became the Durham for All Chapter of Carolina Federation. At that time, Durham for All's Executive and Deputy Directors assumed new roles as employees of Carolina Federation, Whitney Maxey as the Interim Durham for All Director, and Anthony Maglione as the Interim Durham for All Deputy Director. “Prior to filing, the Form 990 will be reviewed by the Executive Director and Deputy Director, and then distributed to the full Board for review prior to submission to the IRS.”

“In 2023, Durham for All's Board of Directors awarded a salary increase to its Executive Director. It based this increase on a review of national industry standards and best practices, and documented comparable salary data from other independent organizations. The decision to award this increase was taken by a vote at a Durham for All Board meeting. Durham for All takes minutes of all Board meetings which include deliberations during such meetings, and the votes pertaining to this decision, both for and against, are included in the minutes of that Board meeting. In 2023, Durham for All's Executive Director awarded a salary increase to its Deputy Director. Durham for All's Executive Director made this decision based on the Deputy Director's enlarged responsibilities and a review of comparable salary data from other independent organizations. At the time of the decision, the Executive Director documented her decision as well as the formula she used to determine the Deputy Director's new salary level.”
