Governance Explanations

Form 990 governing body review Part VI line 11

The board of directors will consist of seven (7) board members. Two (2) of the board members shall be members of the hankinson school board and whose term shall coincide with their respective school board membership. Two (2) members shall be members of the hankinson mantador dollars for scholars board of directors and whose term shall be three (3) years commencing from the date of their appointment. Three (3) members shall be at large members with one appointed by the school board and two (2) appointed by the five (5) remaining members of the hankinson education foundation board. The term of at large members shall be for a period of three (3) years except that the initial term for the first at large member selected shall be for a peroid of one (1) year and the initial term for the second at large member selected shall be for a peroid of two (2) years.

Conflict of interest policy compliance Part VI line 12C

The purpose of the conflict of interest policy is to protect this tax-exempt organizations interest when it contemplating enterring into a transaction or arrangement that might benefit the private interest of an office or director of the organization or might result in a possible excess benefit transaction. This policy is intended to supplement but not replace any applicable state and federal laws governing conflict of interest application to nonprofit and charitable organizations. To insure the organization operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax exempt status periodic reviews shall be conducted. A complete copy of this document is available on request.

RECIPIENTS CAN RENEW THEIR SCHOLARSHIPS YEARLY FOR AN ADDITIONAL THREE YEARS FOR A TOTAL OF FOUR YEARS PROVIDED THAT THEY CONTINUE TO NE ENROLLED FULL TIME IN A NORTH DAKOTA COLLEGE OR UNIVERSITYAND THAT THEY CAN MAINTAIN AT LEAST A 3.0 GPA BASED ON A SCALE OF 4.0. THE AWARD OF SCHOLARSHIPS ARE BASED ON HIGH SCHOOL ACADEMIC PERFORMANCE HIGH SCHOOL EXTRACURRICULAR AND COMMUNITY INVOLVEMENT AND INTENDED COURSE OF THE RECIPIENTS STUDY WITH AN EMPHASIS BEING PLACED ON MATH AND SCIENCE. FOUR NEW SCHOLARSHIPS WILL BE AWARDED ANNUALLY TO HIGH SCHOOL SENIORS AND FOR THEIR FIRST YEAR OF COLLEGE PROVIDED THAT ALL OF THE RECIPIENTS RE-APPLY FOR ADDITIONAL SCHOLARSHIP THE FOUNDATION INTENDS AFTER FOUR YEARS TO HAVE 16 SCHOLARSHIPS AWARDED.

TWO (2) OF THE BOARD MEMBERS SHALL BE MEMBERS OF THE HANKINSON SCHOOL BOARD AND WHOSE TERM SHALL COINCIDE WITH THEIR RESPECTIVE SCHOOL BOARD MEMBERSHIP. TWO (2) MEMBERS SHALL BE MEMBERS OF THE HANKINSON MANTADOR DOLLARS FOR SCHOLARS BOARD OF DIRECTORS AND WHOSE TERM SHALL BE THREE (3) YEARS COMMENCING FROM THE DATE OF THEIR APPOINTMENT. THREE (3) MEMBERS SHALL BE AT LARGE MEMBERS WITH ONE APPOINTED BY THE SCHOOL BOARD AND TWO (2) APPOINTED BY THE FIVE (5) REMAINING MEMBERS OF THE HANKINSON EDUCATION FOUNDATION BOARD. THE TERM OF AT LARGE MEMBERS SHALL BE FOR A PERIOD OF THREE (3) YEARS EXCEPT THAT THE INITIAL TERM FOR THE FIRST AT LARGE MEMBER SELECTED SHALL BE FOR A PEROID OF ONE (1) YEAR AND THE INITIAL TERM FOR THE SECOND AT LARGE MEMBER SELECTED SHALL BE FOR A PEROID OF TWO (2) YEARS.

THIS POLICY IS INTENDED TO SUPPLEMENT BUT NOT REPLACE ANY APPLICABLE STATE AND FEDERAL LAWS GOVERNING CONFLICT OF INTEREST APPLICATION TO NONPROFIT AND CHARITABLE ORGANIZATIONS. TO INSURE THE ORGANIZATION OPERATES IN A MANNER CONSISTENT WITH CHARITABLE PURPOSES AND DOES NOT ENGAGE IN ACTIVITIES THAT COULD JEOPARDIZE ITS TAX EXEMPT STATUS PERIODIC REVIEWS SHALL BE CONDUCTED.
