Governance Explanations

Form 990, Part VI, Section A, Line 6

Tech:nyc, inc. Consists of two classes of members, designated as full members and associate members. (a) full members. The full members shall consist of those individuals or entities who (i) have completed the process for application to the corporation, which application may include an agreement to be bound by these bylaws, as the same may be amended and/or restated from time to time; (ii) are then current on the payment of their membership fees, penalties and/or assessments; and (iii) are then in good standing. The board of directors shall prescribe all necessary forms for application to the corporation and shall establish a procedure to verify and admit all prospective full members. The board of directors shall from time to time establish all membership dues and any fees, penalties and/or assessments applicable for full members. The board of directors shall have the power, in its sole discretion, to suspend, expel or censure any full member. Any full member who has been expelled is not in good standing. Any suspended full member is not in good standing during the period of that full member's suspension. (b) associate members. Tech:nyc, inc. Has not yet officially adopted a conflict of interest policy. However, the organization asks that all directors inform the board of directors of any conflicts of interest. Employees and directors are asked to notify the executive director of any conflicts of interest in their offer letters. The board of directors is responsible for reviewing the disclosures. Any person who is determined to have a conflict of interest is recused from voting on the matter.

Form 990, Part VI, Section B, Line 15A

The process for determining compensation of the executive director included review and approval by a finance committee made up of members of the board of directors. The committee was provided with an organizational budget and comparability data of executive director compensation as disclosed on the forms 990 of similar-sized exempt organizations. Once that information was provided and analyzed, the committee members independently deliberated to set compensation.

THE FULL MEMBERS SHALL CONSIST OF THOSE INDIVIDUALS OR ENTITIES WHO (I) HAVE COMPLETED THE PROCESS FOR APPLICATION TO THE CORPORATION, WHICH APPLICATION MAY INCLUDE AN AGREEMENT TO BE BOUND BY THESE BYLAWS, AS THE SAME MAY BE AMENDED AND/OR RESTATED FROM TIME TO TIME; (II) ARE THEN CURRENT ON THE PAYMENT OF THEIR MEMBERSHIP FEES, PENALTIES AND/OR ASSESSMENTS; AND (III) ARE THEN IN GOOD STANDING. THE BOARD OF DIRECTORS SHALL PRESCRIBE ALL NECESSARY FORMS FOR APPLICATION TO THE CORPORATION AND SHALL ESTABLISH A PROCEDURE TO VERIFY AND ADMIT ALL PROSPECTIVE FULL MEMBERS. THE BOARD OF DIRECTORS SHALL FROM TIME TO TIME ESTABLISH ALL MEMBERSHIP DUES AND ANY FEES, PENALTIES AND/OR ASSESSMENTS APPLICABLE FOR FULL MEMBERS. THE BOARD OF DIRECTORS SHALL HAVE THE POWER, IN ITS SOLE DISCRETION, TO SUSPEND, EXPEL OR CENSURE ANY FULL MEMBER. ANY FULL MEMBER WHO HAS BEEN EXPELLED IS NOT IN GOOD STANDING. THE ASSOCIATE MEMBERS SHALL CONSIST OF THOSE INDIVIDUALS OR ENTITIES WHO (I) HAVE COMPLETED THE PROCESS FOR APPLICATION TO THE CORPORATION, WHICH APPLICATION MAY INCLUDE AN AGREEMENT TO BE BOUND BY THESE BYLAWS, AS THE SAME MAY BE AMENDED AND/OR RESTATED FROM TIME TO TIME; (II) ARE THEN CURRENT ON THE PAYMENT OF THEIR MEMBERSHIP FEES, PENALTIES AND/OR ASSESSMENTS; AND (III) ARE THEN IN GOOD STANDING. THE BOARD OF DIRECTORS SHALL PRESCRIBE ALL NECESSARY FORMS FOR APPLICATION TO THE CORPORATION AND SHALL ESTABLISH A PROCEDURE TO VERIFY AND ADMIT ALL PROSPECTIVE ASSOCIATE MEMBERS. THE BOARD OF DIRECTORS SHALL FROM TIME TO TIME ESTABLISH ALL MEMBERSHIP DUES AND ANY FEES, PENALTIES AND/OR ASSESSMENTS APPLICABLE FOR ASSOCIATE MEMBERS. THE BOARD OF DIRECTORS SHALL HAVE THE POWER, IN ITS SOLE DISCRETION, TO SUSPEND, EXPEL OR CENSURE ANY ASSOCIATE MEMBER. ANY ASSOCIATE MEMBER WHO HAS BEEN EXPELLED IS NOT IN GOOD STANDING. ANY SUSPENDED ASSOCIATE MEMBER IS NOT IN GOOD STANDING DURING THE PERIOD OF THAT ASSOCIATE MEMBER'S SUSPENSION.
