Developing, furnishing and operating a park and related recreational and educational facilities for public use and any and all related charitable purposes; including, but not limited to, green spaces, local heritage exhibit, event spaces, nature museum, walking and biking trails, playgrounds and fund raising related thereto.

To enrich our community through nature, culture, recreation, and education.

The executive committee shall have and may exercise, so far as may be permitted by law, the full powers of the board of directors and the action taken by the executive committee may be relied on by third parties as the actions of the board; provided, however, that the executive committee shall not have the power to hire or fire the chief executive officer, amend the articles of incorporation or bylaws of the corporation, merge or dissolve the corporation or approve the sale of all or any material portion of its assets, or take any other action the board of directors shall specifically reserve to itself.

Form 990, Part VI, Section B, Line 12C

Any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest is an interested person. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement isn't reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.

A search committee comprised of bonnet springs park board members was responsible for the hiring and compensation determination of the ceo. An independent salary survey was conducted, using comparable organizations from around the us, in order to determine a competitive compensation level. The search committee reviewed and approved final compensation determination, and documented all deliberation and decisions in the minutes of meetings held.

Bsp is a nonprofit organization exempt from federal income taxes under section 501(c)(3) of the internal revenue code. Rh, lwdc, and fbsp are disregarded entities for income tax purposes. Financial accounting standards board (fasb) accounting standards codification (asc) topic 740, accounting for uncertainty in income taxes (asc 740), clarifies the accounting and recognition for income tax positions taken or expected to be taken in the organization's income tax returns. The organization's income tax filings are subject to audit by taxing authorities and filings for period after fiscal year 2018 are open for examination. The organization does not believe it has any unrecognized exposure relating to uncertain tax positions at december 31, 2021.
