“The board of directors consists of a minimum of three (3) directors. The board composition seeks to be representative of the global solar landscape. The composition of the board of directors shall respect the number of seats of the subcategories as listed under appendix 1. Founding members are listed under appendix 2. When there are no candidates for one or more seats of a subcategory or category, then the position of director shall remain open and shall not be transferred to another category or subcategory. A.regional associations the corporation recognizes five regions, being europe, asia, americas, africa and oceania and the board of directors may recognize additional regions with a two third majority each region is represented in the board of directors by maximum one association, which may be a leading regional solar energy association or a regional solar energy association. Leading regional associations are entitled to three (3) seats of which maximum two (2) are automatic seats. Leading regional solar energy associations, which are founding members of the corporation, shall prevail for the two automatic seats in the board of directors. When there are less than two founding members for the two automatic seats, the seats not filled by founding members are up for election among leading regional solar energy associations. B.national associations each country is represented in the board of directors by maximum one association, which may be a leading national solar energy association or a national solar energy association. When there are multiple leading or national solar energy associations in one country, the leading or national solar energy association with the highest percentage of photovoltaic solar companies has the first right to participate in the board of directors' elections. Leading national solar energy associations are entitled to nine (9) seats of which maximum six (6) are automatic seats. Leading national solar energy associations, which are founding members of the corporation, shall prevail for the six (6) automatic seats in the board of directors. When there are less than six (6) founding members for the six (6) automatic seats, the seats not filled by founding members are up for election among leading national solar energy associations. When there are multiple national solar energy associations from the same country, the founding member(s) of the corporation have the first right to participate in the board of directors' elections. Directors must be represented by a senior-level employee or contractor of the member'organization or in a leadership position within the member organization. Each director shall have one (1) vote.”
