The organization has two classes of members: founding and regular members. Members have a right to vote on annual appointment to the board of directors. A quorum at a meeting of the members requires attendance (in person or by proxy) of both a majority of the regular members and a majority of the founding members. A majority vote of both the founding and regular members is required to constitute board action.
