Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

The 990 is normally reviewed by the board treasurer first, and then by the board of directors. Due to a medical emergency, our board treasurer was unable to review the 990 prior to its distribution to the full board, but approved its distribution to the full board without their pre-review.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Board members complete a conflict of interest questionaire annually, and recuse themselves from votes where a conflict is an issue.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

The compensation is compared to like positions in the field

Form 990, Part VI, Line 15B: Compensation Review and Approval Process for Officers and Key Employees

Compensation is set by the board of directors based on compensation at other nonprofit organizations.

Form 990, Part VI, Line 19: Other Organization Documents Publicly Available

The organization does not make its governing documents and conflict of interest policy available to the public.
