Mission

The mission of the east bay foundation on aging is to improve the quality of life of the elderly through grants to nonprofit organizations in the east bay. Initial priorities include direct service, training, and capacity building grants to organizations serving elderly women, oakland residents, and/or utilizing an intergenerational approach.

Susan frohlich and maria healey are employees of the san francisco foundation (tsff). Anne bolla was an employee of tsff for a portion of the year covered by this return. Monica pressley is an employee and officer of tsff. Jayne haldane, kay baldinelli, peggy wincorn, jennifer winters, lynne costain and margaret sigurdson were also on the board of ladies home society of oakland. Ladies home society of oakland transferred its assets to east bay foundation on aging and later dissolved in december of 2009.

The public accounting firm hired to prepare the form 990 forwarded the return to the controller of the san francisco foundation (who is also currently the treasurer of east bay foundation on aging). The controller reviewed and confirmed all amounts with the books and records of the foundation. The controller reviewed in person with the cfo of the san francisco foundation. The treasurer reviewed and signed the return. The treasurer presented the return to the board of trustees after submittal and addressed any questions from the board.

Regarding compensation paid by the san francisco foundation (no compensation is paid by the east bay foundation on aging): compensation and benefits for all staff, with the exception of the ceo, are determined as part of tsff's annual budgeting and merit review process. Using competitive market data, the management team recommends benefit changes and a merit budget to the hr committee of the board. The hr committee brings final recommendations to the full board for approval. Compensation and benefits for the ceo are determined using survey data and/or the services of a compensation consultant. Competitive market data is provided to the board of trustees who make the final decision on ceo compensation and benefits. No compensation is paid by the east bay foundation on aging.

Form 990, part xii, line 2d: because the east bay foundation on aging is included in a consolidated audit with tsff, the foundation utilizes the tsff audit as its own. The audit committee of tsff has oversight of the consolidated audit, which includes the east bay foundation on aging.

Financial Statement Notes

PART V, LINE 4:

Endowment funds are used to support the mission of the east bay foundation on aging.

PART X, LINE 2:

The foundation is exempt from federal income tax on related income under section 501(c)(3) of the internal revenue code (the "code") and has been classified as an organization which is not a private foundation as defined in sections 509(a)(1) and 170(b)(i)(a)(vi) of the code. In addition, the foundation is subject to tax on unrelated business income generated by its investments. The foundation follows the guidance of fasb asc topic 740 - accounting for uncertainty in income taxes. As of june 30, 2014, management evaluated the foundation's tax positions and concluded that the foundation had maintained its tax exempt status and had taken no uncertain tax positions that require adjustment to the financial statements. With few exceptions, the foundation is no longer subject to income tax examinations by the internal revenue service for tax years ending june 30, 2010 and before. Similarly, the foundation is no longer subject to income tax examinations by the california franchise tax board for tax years ending june 30, 2009 and before.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt1THE FOUNDATION IS EXEMPT FROM FEDERAL INCOME TAX ON RELATED INCOME UNDER SECTION 501(C)(3) OF THE INTERNAL REVENUE CODE (THE "CODE") AND HAS BEEN CLASSIFIED AS AN ORGANIZATION WHICH IS NOT A PRIVATE FOUNDATION AS DEFINED IN SECTIONS 509(A)(1) AND 170(B)(I)(A)(VI) OF THE CODE. IN ADDITION, THE FOUNDATION IS SUBJECT TO TAX ON UNRELATED BUSINESS INCOME GENERATED BY ITS INVESTMENTS. THE FOUNDATION FOLLOWS THE GUIDANCE OF FASB ASC TOPIC 740 - ACCOUNTING FOR UNCERTAINTY IN INCOME TAXES. AS OF JUNE 30, 2014, MANAGEMENT EVALUATED THE FOUNDATION'S TAX POSITIONS AND CONCLUDED THAT THE FOUNDATION HAD MAINTAINED ITS TAX EXEMPT STATUS AND HAD TAKEN NO UNCERTAIN TAX POSITIONS THAT REQUIRE ADJUSTMENT TO THE FINANCIAL STATEMENTS. WITH FEW EXCEPTIONS, THE FOUNDATION IS NO LONGER SUBJECT TO INCOME TAX EXAMINATIONS BY THE INTERNAL REVENUE SERVICE FOR TAX YEARS ENDING JUNE 30, 2010 AND BEFORE. SIMILARLY, THE FOUNDATION IS NO LONGER SUBJECT TO INCOME TAX EXAMINATIONS BY THE CALIFORNIA FRANCHISE TAX BOARD FOR TAX YEARS ENDING JUNE 30, 2009 AND BEFORE.
