Directors and officers must disclose all material facts concerning an actual or potential conflict of interest as soon as it is discovered. Disclosure shall be directed to the board of directors via the chairperson, chief executive officer or the secretary. If it appears that a conflict of interest exists, the board of directors or the chair of the relevant committee thereof shall appoint a non-interest person or a committee of the board of directors to investigate alternatives to the proposed transaction or arrangement. If the board of directors has reasonable cause to believe that a director or officer has failed to disclose an actual or possible conflict of interest, it shall inform such person of basis for such belief and afford such person an opportunity to explain the alleged failure to disclose. If after hearing the response of the director or officer, and making further investigation, the board of directors determines that the director or officer has failed to disclose an actual or possible conflict of interest, it shall take appropriate remedial action.

Financial Statement Notes

PART X, LINE 2:

First descents is exempt from federal income tax under section 501(c)(3) of the internal revenue code, and it qualifies for the charitable contribution deduction. Income from activities not directly related to its tax-exempt purpose is subject to taxation as unrelated business income. There was no unrelated business income in the year ended december 31, 2014. Management is required to evaluate tax positions taken by first descents and recognize a tax liability (or asset) if it has taken an uncertain position that likely would not be sustained upon examination by taxing authorities. Management has analyzed the tax positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements and determined that there are none. First descents is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Management believes it is no longer subject to income tax examinations for years prior to december 31, 2011.
