“The Articles of Incorporation were amended and restated at the November 2017 board meeting. These amendments include stating that GVLT is a public benefit corporation without members under state law, adding a directors liability limitation permitted under state law, and deleting information about the initial directors, registered agent and office. It also included changing two phrases in GVLTs purposes from development of green spaces and urban community trails to preservation of open spaces and the development of community trails and parks and from chief facilitator in sales between private and public sources to advocate for the public in sales between private and public sources. The following sentence also was added to its purposes: Notwithstanding anything to the contrary herein, the purposes will be limited exclusively to exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code. The By-Laws also were amended at this meeting to conform to changes in the Articles of Incorporation, state the Executive Director is an officer, clarify the procedure for board action by unanimous written consent, and to allow directors to participate in meetings by remote communication as permitted by state law.”

“In July of 2017, the original grantor of the Pessl Conservation Easement (2007) requested to add acreage (10 acres) to their original conservation easement property. The additional acreage is adjacent to the original property and added to the overall conservation value of the property. The landowner and GVLT worked to clarify the details of the amended acres, developed a letter of intent, and agreed upon how the costs would be covered. GVLT presented the amendment to its board of directors for approval, sought legal counsel to help construct the new terms, and completed necessary due diligence related to the transaction (title policy, mortgage subordination, mineral remoteness test, update the BDR, and consulted with funders). The landowners sought an independent appraisal that confirmed that conservation value existed with the addition of acres.”
“The Gallatin Valley Land Trust is accredited by the national Land Trust Accreditation Commission. GVLTs Monitoring Policy mandates annual monitoring of all conservation easement properties, including personal site visits and interviews with the landowner. | IRS990/Desc | 0 | Land Conservation GVLT furthered its mission to conserve working farms and ranches, wildlife habitat, and river corridors in the Gallatin Valley. We identify strategic areas with high conservation values and work to conserve blocks of open land that protect special parts of the valley. This year we conserved 574 acres of land in the Gooch Hill Area of Gallatin County with two local farming families and added 10 acres to an existing conservation easement in Big Sky. Our total conserved land is 46,400 acres in 104 conservation easements. Our staff develop long-term relationships with the landowners and visit each conservation easement annually to provide resources and monitoring to these properties. In FY18, we assisted 22 stewardship enhancement projects on the ground, worth a total of $140,000 to enhance forest health, control noxious weeds, and plant streamside and wetland vegetation. |
