Governance Explanations

Form 990, Part VI, Section A, Line 4

In the June 2023 Board Meeting, the Board approved updating our Investment Policy and Restricted Funds Policy. The changes helped to bring our policies into alignment with GVLTs growing financial complexity, reduced redundancies between policies to avoid potential conflicts, and increased the transparency and clarity of our internal control polices. In the October 2022 Board Meeting, the Board also approved a new set of personnel policies to provide more clarity and support for staff.

Form 990, Part VI, Section B, Line 11B

Rudd & company, pllc delivers a copy of the form 990 and all required schedules in time for inclusion in a board packet. The finance committee and board of directors subsequently reviewed and approved the 990.

Form 990, Part VI, Section B, Line 12C

Annual disclosure of possible conflicts of interest: effective 7/1/2009 each board & staff member is required to disclose any and all interests that could give rise to conflicts. Monitoring & enforcing compliance with policy: the chair and executive director (ed) make sure every board member has a copy of the policy and is aware of the responsibility to disclose real or perceived conflicts. The chair and executive director ensure that processes in policy are adhered to in situations for real or perceived conflict, and this is documented in the contemporaneous minutes of meetings.

The board executive committee perform an annual review of the Executive Director's performance. They use evaluation forms to solicit feedback from both the board and staff. SALARY SURVEYS PROVIDE COMPARABILITY DATA (NATIONAL AND REGIONAL), FULL BOARD VOTES ON COMPENSATION AND PERFORMANCE STANDARDS, TERMS ARE DOCUMENTED IN EMPLOYMENT CONTRACTS. OFFICERS ARE NOT COMPENSATED, AND AT THIS TIME THERE ARE NO OTHER KEY EMPLOYEES BESIDE THE EXECUTIVE DIRECTOR.

Financial Statement Notes

Part II, Line 5: Summarized Policy

The Gallatin Valley Land Trust (GVLT) is accredited by the national Land Trust Accreditation Commission. GVLTs Monitoring Policy mandates annual monitoring of all conservation easement properties, including personal visits and interviews with the landowner. The policy also requires permanent documentation of the monitoring visit and regular communications with landowners. GVLTs Violations Policy emphasizes tools to help prevent violations and outlines the procedure should a violation occur, including the role of staff and Board of Directors, and describes possible enforcement actions.GVLTs template conservation easement reflects our Monitoring and Violations Policies in standard language about access for monitoring (Section 7), baseline documentation reports (Section 9), Prior Notice and Approval (Section 4), and Breach and Restoration (Section 5).

Part II, Line 9: Organization Reporting of conservation easements.

Conservation easements accepted by Gallatin Valley Land Trust (GVLT) are not recorded as assets or revenues because the conservation easements provide the land trust with no affirmative rights other than monitoring and enforcing the easement.

Part V, Line 4: Intended uses of the endowment fund.

The General Endowment Fund is a depository for special gifts to GVLT from donors who instruct their gifts are for charitable endowment purposes within GVLTs mission and are not wholly expendable by the institution on a current basis. The purpose of the General Endowment Fund is to generate income for the organizations charitable purposes, as determined by the Board of Directors, and summarized in the mission to connect people, communities, and open lands through conservation of working farms and ranches, healthy rivers, and wildlife habitat, and the creation of trails in the Montana headwaters of the Missouri and Upper Yellowstone Rivers.

IRS990/Desc0Land Conservation - GVLT furthered its mission to conserve working farms and ranches, wildlife habitat, and river corridors in Southwestern Montana. We identify strategic areas with high conservation values and conserve blocks of open land that protect special parts of our landscape. We hold 125 conservation easements covering 63,167 acres. our staff visit each conservation easement annually to monitor their condition and partner with landowners on restoration projects to improve eroding steam banks, plant vegetation,and enhance floodplains. IRS990/ProgSrvcAccomActy2Grp/Desc0Community Trails GVLT connects people, communities, and the land through collaborative trail projects. We expanded and made significant improvements to the Burke Park (Peets Hill) trails; completed the Homestead Connector Trail in Highland Glen to link the East Rim and Wellness Trails; and we completed a new connector trail in The Lakes in Valley West, bringing our vision of linking the West side of our valley to the mountains closer to fruition. Staff and 668 volunteers spent over 2500 hours maintaining trails at Burke Park, Drinking Horse, Triple Tree, Painted Hills, Highland Glen Nature Preserve, Kirk Hill, and the Wellness Trail. We also partnered with other local recreation groups on an Outside Kind campaign to share messages about considerate outdoor behavior.

IRS990/ProgSrvcAccomActy3Grp/Desc0Education GVLT shares monthly news with over 18,000 supporters on community trails, private land conservation, and related public events. GVLT publishes our audited financial statements, IRS Form 990, and an annual report on the website. The 22 young professionals on the NextGen Advisory Board educate and inspire their peers to volunteer and support GVLT. GVLT hosted over 800 volunteers for over 4,300 hours of service and educated them all on GVLTs mission and accomplishments. Through a partnership with Random Acts of Silliness, we brought the trails to life with the ever-enchanting Fairy Village. The Summer Trails Challenge engaged thousands of community members to explore the trails and log 92,674 miles of trail use in fourweeks.
