Form 990 and the related schedules and attachments, in draft form, were provided to all the members of the organization's board of directors in advance of filing. Directors were asked to review the form and to contact the treasurer with any questions or comments they had.

Form 990, Page 6, Part VI, Line 12C

Each director, principal officer and member of a committee with board delegated powers are required on an annual basis to sign a statement which affirms that they: i) received a copy of the conflict of interest policy, ii) read and understand the policy, iii) agree to comply with the policy, and iv) understand that the theatre is a charitable organization that must engage primarily in activities which accomplish one or more of its tax- exempt purposes in order to maintain its tax-exempt status. If at any time during the year, the information in the annual statement changes materially, the director shall disclose such changes and revise the annual disclosure form. The executive committee regularly and consistently monitors and enforces compliance with the policy by reviewing annual statements and taking such other actions as are necessary for effective oversight.

Form 990, Page 6, Part VI, Line 15A

The board of director's finance committee prepares and presents the organization's budget for the current fiscal year, which the board uses to review and determine the amount of funds available to pay those that work for the organization. During this review of the budget, the board discusses what other theater companies (that are comparable to the organization) are paying their workers. After reviewing the budget and the comparable data, the board sets the rates and salaries of its workers which they believe are competitive and allow the organization to maintain a balanced budget.
