Governance Explanations

Form 990, Part VI, Section B, line 11B

The Charter School reviews and signs the 990 before it is submitted.

Form 990, Part VI, Section B, line 12C

The policy is reviewed twice per year during the board meeting. The finance manager brings a list of current vendors and the board reviews and discloses potential conflicts of interest, if any, at that time for record in the minutes. They would recluse themselves from any voting of business for those vendors.

Form 990, Part VI, Section B, line 15

The board has traditionally been very conservative on assigning management salary, but this year it is looking at salary averages of various comparable schools to make a more informed decision. Goal setting and performance review, with a 3-5% annual increase allotted in the budget, are considered in determining wages of management.

Form 990, Part VI, Section C, line 19

The Charter School makes its governing documents, policies, and financial statements available upon request.

Additional Explanations

Form 990, Part I, Item C

DBA: Hennepin Middle School

Form 990, Part X, Line 25:

Pension liabilities, net of pension deferred outflows & inflows: As a charter school in the state of Minnesota, participation in two multiple-employer, cost-sharing defined benefit pension plans is statutorily required. The school's contributions to the plans are also regulated by statute and are based on a percentage of salaries and wages earned by current employees. Therefore, while the net pension liability is reported on the school's statement of net position, the school is not in a position to directly control the liability or the subsequent liquidation of the liability.

Form 990, Part XII, Line 2C:

The process has not changed from the prior year.

Financial Statement Notes

Part X, Line 2:

The Charter School is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code. The Charter School also qualifies as a tax-exempt organization under applicable statutes of the State of Minnesota. Management believes that it is not reasonably possible for any tax position benefits to increase or decrease significantly over the next 12 months. As of June 30, 2020, there were no income tax related accrued interest or penalties recognized in either the statement of financial position or the statement of activities. The Charter School files informational returns in the U.S. federal jurisdiction, and in the Minnesota state jurisdiction. U.S. federal returns and Minnesota returns for the prior three fiscal years are closed. No returns are currently under examination in any tax jurisdiction.
