Delegate control over management duties the company was managed by aetna medicaid administrators llc (formerly schaller anderson, llc) (schaller), a management service organization, as part of a management services agreement until june 30, 2013 when its contract was terminated. Schaller is a subsidiary of aetna insurance company. Effective july 1, 2013, the company entered into a new plan management services agreement with independent living systems, llc.

Board review of form 990 during the course of the finance committee meeting, management presented an overview of form 990 to the finance committee and gave the committee members an opportunity to provide comments and ask questions with respect to the draft. Based on feedback from the committee members, management updated the draft form 990. Prior to finalization of the return, management provided a final draft, via e-mail, to all members of the board of directors seeking comments. Management updated the final draft for all comments received and finalized the return.

Conflict of interest policy integral health plan, inc. Has established a conflict of interest policy which has been reviewed and approved by the board of directors. Integral is committed to the belief that sound business practices start with an absolute commitment from each employee to act ethically in carrying out business, and to comply with the laws and regulations that impact its business, thus integral's employees must avoid participating in activities that create or appear to create a conflict of interest. Integral has specifically identified the following areas in its policy to be potential conflicts of interest: financial interest, outside employment, paid faculty arrangements, consultant or research contracts, acceptance of gifts, gratuities, business courtesies, travel, lodging and entertainment, misuse of resources or assets, personal gain using undue influence, direct dealings with vendors, and use of confidential information. The policy requires all employees to disclose participation in activities or circumstances that may present a conflict of interest on an annual basis or if at any time such individual becomes aware of circumstances that may present a conflict of interest. These disclosures are reviewed by compliance and regulatory affairs, as necessary.

Integral Health Plan worked with its majority member, Collier Health Services in utilizing the services of an independent compensation consultant to conduct CEO salary review.

The Company has been recognized by the Internal Revenue Service as a tax-exempt organization as described in Section 501(c)(3) of the Internal Revenue Code of 1986. Income earned in furtherance of the organization s tax-exempt purposes is exempt from federal and state income taxes. ASC Topic 740, Income Taxes, prescribes a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return, and provides guidance on derecognition, classification, interest and penalties, disclosure, and transition. Management believes that no such uncertain tax position exists for the Company at December 31, 2013 and 2012.

Income earned in furtherance of the organization s tax-exempt purposes is exempt from federal and state income taxes. ASC Topic 740, Income Taxes, prescribes a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return, and provides guidance on derecognition, classification, interest and penalties, disclosure, and transition. Management believes that no such uncertain tax position exists for the Company at December 31, 2013 and 2012.
