“CJRG retains the services of a management firm, Interel US, Inc. (Interel) Management fees represent amounts paid to Interel under the terms of the agreement to provide management, back-office services, office space, equipment and other resources. Management fees totaled $440,000 for the year ended December 31, 2017. CJRG's Managing Director is an employee of and was compensated by Interel.”

“CJRG is comprised of member companies; each company has one vote. However, there is no limit on the number of individuals that a member company can designate to participate in CJRG activities and meetings. There are two categories of membership: Steering Committee Members and General Members. Steering Committee Members' votes on CJRG priorities are weighted more heavily than those of General Members.”

“Steering Committee Members advise the Board of Directors on the selection of directors and officers.”

“A copy of the form 990 is provided to the Governing Board for review and comment prior to filing.”

“In connection with any actual or possible conflicts of interest, a director or individual with Board of Directors delegated powers must disclose the existance of a financial interest and all material facts to the Board of Directors or the members of committees with Board of Directors delegated powers considering the proposed transaction or arrangement after disclosure of the financial interest and all material facts, and after any discussion with the interested person, they shall leave the Board of Directors or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining members of the Board of Directors or committee shall decide if a conflict of interest exists. Each director or individual with Board of Directors delegated powers shall sign a statement at the beginning of their term of office or commencement of Board level responsibilities and annually thereafter affirming that such a person 1) has received a copy of the conflicts of interest policy, 2) has read and understands the policy, and 3) has agreed to comply with the policy. Failure to sign this policy does not exempt an individual from the obligation of adhering to the policy.”

“The governing documents, conflict of interest policy, and financial statements are not generally made available to the general public, but if requests for copies of these documents were to be received, the organization would consider making them available to the request.”
