“In connection with any actual or possible conflicts of interest, a director or individual with board of directors delegated powers must disclose the existence of a financial interest and all material facts to the board of directors or the members of committees with board of directors delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, they shall leave the board of directors or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining members of the board of directors or committee shall decide if a conflict of interest exists. Each director or individual with board of directors delegated powers shall sign a statement at the beginning of their term of office or commencement of board level responsibilities and annually thereafter, affirming that such person: 1. Has received a copy of the conflicts of interest policy, 2. Has read and understands the policy, and 3. Has agreed to comply with the policy. Failure to sign this policy does not exempt an individual from the obligation of adhering to the policy.”
