“Global equity organziation does not have any statutory members, as that term is defined under chapter 3 of california's nonprofit mutual benefit corporation law, provided for under its governing documents, who either under state law (in global equity organization's case, california) or the governing documents have the right to participate in global equity organization's governance or to receive distributions of income or assets from global equity organization. However, global equity organization does have many individuals around the world who have chosen to participate in global equity organization, who possess the label of "member and who have certain rights and privileges determined by global equity organization's board of directors. One of those rights provided by the board is the ability to vote on the election of individuals to global equity organization's board of directors.”

“Global equity organization maintains a conflict of interest policy that covers all of its officers, directors, and key employees ("covered persons"). Each covered person is required to disclose either at the time of becoming a covered person or, if already a covered person, annually, any potential conflicts of interest. In addition, if a matter arises that presents a potential conflict of interest, it is referred to the executive director (or, if the potential conflict involves the executive director, a member of the executive committee of the board of directors) for investigation and recommendation for further action. To date, no matter has been raised that has presented a conflict of interest under the terms of global equity organization's conflict of interest policy and therefore, no enforcement has been required.”

“Form 990, part vi, section b, line 15a: the annual compensation for global equity organization's executive director was reviewed and approved by the executive committee of the board of directors, each of whom is an independent person, and the executive committee contemporaneously documented the decision and its deliberation process. Given the unique nature of global equity organization as a small but thoroughly multinational professional trade association, there are very few similarly situated organizations, and thus, the executive committee relied on its judgement regarding the executive director's qualifications and background, rather than comparability data, in approving the executive director's compensation. Global equity organization did not compensate any other officers or key employees and thus there were no compensation determinations for such person.”

“The organization makes its governing documents and financial statements available to the public upon request.”

“All employees of the organization work virtually from various locations, including locations outside of the united states. However, the global equity organization does not maintain offices or agents outside of the united states.”
