Mission

The specific and primary purposes are to provide housing for low income families and elderly and handicapped persons who cannot afford decent, safe and sanitary housing, by constructing, rehabilitation, owning, and operating housing units, and the sale or rental of the same to the poor, underprivileged, handicapped and elderly, in conjunction with local, state and federal low income housing programs, and to provide related facilities and services especially designed to meet the physical, social, and psychological needs of said families and persons which contribute to their health, security, happiness, and usefulness, and to hereby, inter-alia, ameliorate the existing housing shortage, provide relief for the poor, distressed and underprivileged, lessen the burdens of government, and combat community deterioration and juvenile delinquency.

Form 990, Part VI, Section B, Line 11B

Annual audit and non-profit tax return review process the purpose is to outline the process for an annual independent audit and preparation of the organization's non-profit tax returns and ensure that the board of directors are provided copies of these documents for their review and action if required. Annually, the chief executive officer, ceo, will cause an audit to be performed by an independent auditor. The same auditor will prepare the organization's non-profit tax return. The non-profit tax return should be completed and submitted before the required deadline for submittal. If not, proper procedures shall be followed to request an extension. If an extension is required to file the non-profit tax return(s), then the board of directors shall be notified of why the extension is required. Once the non-profit tax return is completed, the ceo will prepare a staff report for the next board meeting and provide copies of the non-profit tax return to the board of directors for their review and discussion. When the annual audit is completed, the ceo will present the audit to the board of directors for review, discussion, approval, and staff direction.

Form 990, Part VI, Section B, Line 12C

Conflict of interest policy and annual statement for directors and officers and members of a committee with board delegated powers and employees article 1 -purpose 1. The purpose of this board conflict of interest policy is to protect central valley coalition for affordable housing's ("cvcah") interests when it is contemplating entering into a transaction or arrangement that might benefit the private interests of an officer or director of cvcah or might result in a possible excess benefit transaction. 2. This policy is intended to supplement, but not replace, any applicable state and federal laws governing conflicts of interest applicable to nonprofit and charitable organizations. 3. This policy is also intended to identify "independent" directors. Article 2 -definitions 1. Interested person -any director, principal officer, or member of a committee with governing board delegated powers, and employees who has a direct or indirect financial interest, as defined below, is an interested person. 2. Financial interest -a person has a financial interest if the person has, directly or indirectly, through business, investment, or family: a. An ownership or investment interest in any entity with which cvcah has a transaction or arrangement, b. A compensation arrangement with cvcah or with any entity or individual with which cvcah has a transaction or arrangement, or c. A potential ownership or investment interest in, or compensation arrangement with, any entity or individual with which cvcah is negotiating a transaction or arrangement. Compensation includes direct and indirect remuneration as well as gifts or favors that are not insubstantial. A financial interest is not necessarily a conflict of interest. A person who has a financial interest many have a conflict of interest only if the board or executive committee decides that a conflict of interest exists, in accordance with this policy. 3. Independent director -a director shall be considered "independent" for the purposes of this policy if he or she is "independent" as defined in the instructions for the irs 990 form or, until such definition is available, the director- a. Is not, and has not been for a period of at least three years, an employee of cvcah or any entity in which cvcah has a financial interest; b. Does not directly or indirectly have a significant business relationship with cvcah, which might affect independence in decision-making; c. Is not employed as an executive of another corporation where any of cvcah's executive officers or employees serve on that corporation's compensation committee; and d. Does not have an immediate family member who is an executive officer or employee of cvcah or who holds a position that has a significant financial relationship with cvcah. Article iii -procedures 1. Duty to disclose -in connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the board or executive committee. 2. Recusal of self -any director may recuse himself or herself at any time from involvement in any decision or discussion in which the director believes he or she has or may have a conflict of interest, without going through the process for determining whether a conflict of interest exists. 3. Determining whether a conflict of interest exists -after disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the board or executive committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or executive committee members shall decide if a conflict of interest exists. 4. Procedures for addressing the conflict of interest a. An interested person may make a presentation at the board or executive committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the

The corporation's current conflict of interest and compensation policy was adopted by the board of directors in 2007. Pursuant to this policy: a. No interested person shall vote on any matter relating to his or her b. The corporation shall endeavor to ensure that all compensation arrangements performing similar duties for comparable organizations under similar conditions and circumstances. The corporation shall consider and give due weight to studies nominates a compensation committee whose members are comprised of three independent directors. The compensation committee is guided by their board approved charter as well as a compensation philosophy statement. Both the board of directors and the compensation committee have relied on input from an independent compensation consultant as well as information provided by the economic research institute that provides compensation information drawn from form 990's of comparable organizations. This third party information is first reviewed and deliberated by the compensation committee for both the president and other committee presents an annual compensation and benefit plan to the board of directors that is reviewed in conjunction with the annual budget for the corporation.

Policy for request of organizational documents if the request for organizational documents is not an item requested in the normal course of business, then central valley coalition for affordable housing ("cvcah") requires that the request be submitted in writing. The request must include all contact information for the party requesting documents, detail of what documents are being requested, as well as the years being requested. Once cvcah has received the request, it will be given to our legal counsel for review. Cvcah will then process request as direct by legal counsel.

The mission and charitable purpose of central valley coalition for affordable housing is to manage or direct entities which are organized for the purpose of creating stable, vibrant and healthy communities by developing, financing, and operating affordable, program-enriched housing for families, seniors, and people with special needs who lack the economic resources to access quality, safe housing opportunities. This includes either directly or indirectly supporting or fostering the development, acquisition, financing, operation and management of quality, affordable housing for low and moderate income persons.

Financial Statement Notes

PART X, LINE 2:

Tax status the organization is exempt from federal income tax under section 501(c) (3) of the internal revenue code and state income tax under section 23701 of the california revenue and taxation code. However, income from certain activities not directly related to the organization's tax-exempt purpose is subject to taxation as unrelated business income. In addition, the organization qualifies for the charitable contribution deduction as provided under section 170 and has been classified as an organization other than a private foundation under section 509 (a) (2). As required by the income tax topic of fasb asc 740, the organization recognizes the effect of income tax positions only if those positions are more likely than not of being sustained. The organization does not believe its financial statement include any uncertain tax positions. Generally, the organization's tax returns remain open for three to four years after filing of the returns. There are no tax examinations currently in process.

IN ADDITION, THE ORGANIZATION QUALIFIES FOR THE CHARITABLE CONTRIBUTION DEDUCTION AS PROVIDED UNDER SECTION 170 AND HAS BEEN CLASSIFIED AS AN ORGANIZATION OTHER THAN A PRIVATE FOUNDATION UNDER SECTION 509 (A) (2). AS REQUIRED BY THE INCOME TAX TOPIC OF FASB ASC 740, THE ORGANIZATION RECOGNIZES THE EFFECT OF INCOME TAX POSITIONS ONLY IF THOSE POSITIONS ARE MORE LIKELY THAN NOT OF BEING SUSTAINED. THE ORGANIZATION DOES NOT BELIEVE ITS FINANCIAL STATEMENT INCLUDE ANY UNCERTAIN TAX POSITIONS.
