Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee is composed of board president, vice president, treasurer, executive director. All members must be current board members, except the executive director. The committee has oversight of the governance structures and practices of the organization. It has authority to a) set and monitor policies to ensure that the organization is following local, state and federal laws and certain best practices relating to its governance and business operations; b) act on behalf of the board to address pressing issues that affect the organization significantly in the intervals between board meetings; c) provide financial oversight for casss and ensure that the assets of the organization are preserved and protected; and d) act as a steering committee for the full board, prioritizing issues for the board's attention.

Casss statutory members (also called associate directors) are: any person dedicated to the purpose of this corporation who has (a) completed a membership application, and (b) demonstrated commitment to the purpose and mission of casss through participation in at least one committee or task force for at least one year in accordance with board policy.

Compensation for the executive director is set by the executive committee of the board with approval by the full board, which complies with all applicable legal standards. The executive committee regularly reviews the compensation of the executive director and all other employees considered to be "disqualified persons" under irs "intermediate sanctions" regulations, to ensure compliance with the regulations and any other rules and regulations to which the board is subject regarding compensation. The board of directors approved the executive director's compensation in 2020. Additionally, the board annually approves the executive director's bonus and bonus "pool".
