The executive committee is composed of board president, vice president/secretary, treasurer, executive director. All members must be current officers of the board, except the executive director. The committee has the authority and responsibility to respond to legal and compliance issues, and the authority to act in case of emergency or critical issues within specified spending limits.

Casss statutory members (also called associate directors) are: any person dedicated to the purpose of this corporation who has demonstrated commitment to the purpose and mission of casss through participation in at least one committee or task force for at least one year in accordance with board policy.

The board of directors closely monitors and enforces conflicts of interest policies through regular meetings. Staff provides annual training on this and requests disclosures at every meeting. The conflict of interest policy is distributed each year to each director.

Compensation for the executive director is set by the executive committee of the board with approval by the full board, which complies with all applicable legal standards. The executive committee regularly reviews the compensation of the executive director and all other employees considered to be "disqualified persons" under irs "intermediate sanctions" regulations to ensure compliance with the regulations and any other rules and regulations to which the board is subject regarding compensation. The board of directors approved the executive director's compensation in 2023. Additionally, the board annually approves the executive director's bonus and bonus "pool".
