Governance Explanations

Form 990, Part VI, Section A, Line 6

There is only one class of member. Business improvement district (bid) members are those persons or companies who own property within the bid or lease space of 5,000 or more square feet within the bid.

Form 990, Part VI, Section A, Line 7A

All members that are current on their bid tax assessments may vote in the board member election held annually during the annual meeting.

Form 990, Part VI, Section A, Line 7B

Members of the organization have the right to vote on bylaw amendments and changes to bid tax and bid tax collection.

Form 990, Part VI, Section B, Line 11B

The draft form 990 is reviewed by management, cfo and president. The final draft 990 is provided to the treasurer for review and then shared with the executive committee for approval. The draft 990 will then be provided to the board of directors prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Persons covered by the policy, will annually disclose or update the chairman of the board of directors, on a form provided by the organization their interests that could give rise to conflicts of interest. Such could be a list of family members, substantial business or investment holdings, and other transactions or affiliations with businesses and other organizations or those family members. The disclosures are reviewed by the chairperson or whomever they designate. If a conflict occurs, the person(s) involved will recuse themselves from all discussions on the conflicted transaction except in order to answer any questions from the board about the conflict. All deliberations are kept in the minutes of the board or committee meeting, including any ongoing procedures to manage the conflict if the covered transaction is approved. Enforcement of this process is managed by the president.

Form 990, Part VI, Section B, Line 15

For the president, the process for determining compensation is based on market rates for similar positions in the dc area. The market rate information is reviewed and independently verified by members of the executive committee, which structures and approves the president's compensation. For other employees, the process for determining compensation is based on a review of comparable positions in other bids in the dc area. The president reviews all employee compensation and memorializes those decisions in the employee hr files.

Form 990, Part VI, Section C, Line 19

The organization makes the governing documents, conflict of interest policy, and financial statements available to the public upon request.
