“The following amendments to the bylaws were made in 2021: - the name changed to houston maritime center as a dba. All previous references to "the museum" have been changed to "hmc". - mission was removed from article 2. - principle office was updated in article 3. - article 4 regarding type of organization was removed. - membership changed to disclude hmc members from board governance. Membership of hmc is not the same as membership of the board. - 6.1.d removed: executive director shall be ex-officio member of the board of trustees and executive committee. - number of trustees capped at 13. - 6.3 expectations removed and replaced by "trustee roles and responsibilities", which is now exhibit a. - election terms updated. - term limits update. - resignations leaving an even number of trustees requires a new nomination in the next meeting. - 5.8 advisory board added. - 5.9 advisory board roles and responsibilities added. - annual general meeting changed to year-end meeting and revised to include only board of trustees and advisory board. No longer includes members of the museum. Additional updates throughout change "annual meeting" to "year-end meeting". - 7.2 membership: added to define the executive committee of officers. - 7.4 powers added. - 7.5 quorum added. - executive director and assistant directors sections removed and replaced by "hmc staffing". - treasurer role expanded and clarified. - 8.7 audits added. - 9.2 other committees expanded. - article 11 executive committee removed and replaced earlier in the document. - article 14 educational outreach committee removed. - finance/audit committee expanded. - article 17 audit committee removed. Duties were added to finance committee. - amendments exhibit a and exhibit b added. These define roles and responsibilities of the board of trustees and the advisory board.”

“The form 990 is reviewed by the ceo, treasurer and board chair prior to providing a copy to the entire board and filing with the irs.”

“Board members are required to sign and acknowledge the conflict of interest policy annually. The signed conflict of interest policies are reviewed by the board chair, then referred to the ceo. If a conflict arises the conflict is reviewed by the executive committee. Depending upon the nature of the conflict, the board member in conflict may be required to recuse themselves from any vote relating to the conflict or may be asked to resign from the board.”
