Governance Explanations

Form 990, Part VI, Section B, Line 11B

Line 11b explanation - the foundation's executive director and the board of directors review the 990 before filing.

Form 990, Part VI, Section B, Line 12C

All employees, board of directors, committees, and investment advisors are covered by the conflict of interest policy. Conflicts of interest are determined at each level - board, executive director and committee, and actual conflicts of interest are reviewed at the same levels. When a conflict of interest is identified, the individual must recuse themselves from deliberations and abstain from voting on such matters.

Form 990, Part VI, Section B, Line 15A

The mccf board of directors reviews and votes on compensation awarded to the executive director annually. For this review, they are provided the council on foundations employee compensation summary for community foundations with a comparable asset size. Additionally, the board conducts an annual evaluation of the executive director's job performance.

Form 990, Part VI, Section C, Line 19
