Governance Explanations

Form 990, Part VI, Section A, Line 4

Significant changes to the bylaws: 1. The board is composed of a maximum of 35 trustees and a minimum of 20 trustees. The president of the lamplighter parents' association, the president of the lamplighter alumni association and the head of school are identified as not being trustees in order to exclude them from voting and quorum requirements. They are entitled to attend meetings of the board which are not executive sessions unless otherwise determined by the chair. 2. The term of a trustee elected to serve was redefined to expire on the may 31 that ends the unexpired term being filled. 3. Only an immediate past chair may serve as a trustee for an additional year beyond the expiration of the second term opposed to any past chair. 4. The provision which set forth the guidelines for deemed resignations of a trustee has been removed. 5. Any honorary trustee or life trustee may be removed upon a 2/3 vote of the trustees voting. 6. The provision which allowed the exiting chair and vice chair to elect a succeeding chair has been removed and a succeeding chair is now determined by the normal nomination and voting process. 7. The provision which set forth that the executive committee be voted on as a slate has been removed. 8. A meeting and the consent of all members are required prior to any action being taken by the board or a committee. 9. The officers elected to the same office for two consecutive terms are required 2/3 vote with a max of four consecutive terms. 10.the removal provision now defines that 2/3 vote of the trustees is needed at a duly held meeting to remove an officer. 11. The executive committee may appoint ad hoc committees as appropriate. 12. The executive committee is comprised of trustees only. 13. A simple majority of committee members, but no less than three, constitutes a quorum. Only the executive committee may vote by proxy at any meeting of the executive committee. 14. There are no longer a set number of members on the executive committee. Standing committee chairs and others are now appointed by the chair and are subject to the approval by the board. The executive committee no longer has power to elect or remove trustees, honorary trustees, life trustees, head of school, or amend the certification of formation of the corporation or the bylaws. 15. The head of school may be removed by a 2/3 vote of trustees whom vote in person at a duly held meeting of the board. 16. Each trustee and committee member are required to sign an executive committee approved "conflict of interest statement" form. 17. Indemnification of affiliated parties was redefined to provide maximum flexibility to the board. The corporation is also expressly authorized to purchase and maintain liability insurance.

Form 990, Part VI, Section B, Line 11B

Form 990 review process the form 990 is prepared by outside, independent accountants based on information from the audited financial statements and the school. It is reviewed by management of the school and the audit committee. The form is made available to the members of the audit committee and is reviewed by the committee with the accounting firm. The form is then made available to the board of trustees via the secure board portal website. After the deadline for any trustee comments, the final draft is approved by the executive committee. After the approval, the school files the form 990 and all schedules to the irs.

Form 990, Part VI, Section B, Line 12C

Monitoring and enforcement of conflict of interest policy the organization's assistant head for finance and operations is responsible for monitoring the conflict of interest policy and its compliance, disclosure and resolution procedures. The assistant head for finance and operations shall disclose to the head of school and audit chair all conflicts of interest reported to him or her under these conflict of interest compliance, disclosure and resolution procedures. The audit committee will evaluate the disclosures to determine whether they involve actual conflicts of interest and may attempt to develop alternatives to remove the conflict from the situation. The procedures for acting on conflict of interest transactions are outlined in the conflict of interest compliance, disclosure and resolution procedures for the board of trustees, officers and key employees.

Form 990, Part VI, Section B, Line 15

Determining compensation the head of the school's contract stipulates that the employee's performance throughout the term shall be evaluated in accordance with the following procedures: the head evaluation committee shall meet with the employee annually between april 1 and june 30 for the purpose of formulating the employee's goals for the following academic year, and the results of such meeting will be reported to the executive committee. The head evaluation committee shall meet with the employee annually between april 1 and june 30 for the purpose of giving the employee an evaluation of his or her performance for the preceding acadmic year, and the results of such meeting will be reported to the executive committee. While not stipulated in the head of school's contract, we have reported to the board about renewals for key employees. The head of school, during the budget process, applies the same raise as other administrators and adjusts base salaries with comparative information from other schools. Comparable salary data from i.s.a.s head of schools compensation annual survey is also used during the process.

Intended uses of endowment funds the school's endowment funds have various intended uses including general support, faculty professional development, faculty salary support, financial aid for students, technology, media center, and program support.

PART X, LINE 2:

Fin 48 (asc 740) footnote following is the text from the footnotes of the organization's audited financial statements: the school is exempt from federal income taxes under section 501(c)(3) of the internal revenue code and therefore, no provision has been made for federal income tax in the accompanying financial statements. Should the school engage in activities unrelated to the purpose for which it was created, taxable income could result. In addition, the school has been classified as an entity that is not a private foundation within the meaning of section 509(a) of the internal revenue code. There was no unrelated business income in the fiscal years ended 2018 or 2017. The school is also exempt from state income taxes. Gaap requires the evaluation of tax positions taken or expected to be taken in the course of preparing the school's financial statements to determine whether the tax positions are more likely than not of being sustained by the applicable tax authority. Tax positions not deemed to meet the more likely than not threshold would be recorded as a tax benefit or expense in the current year. A reconciliation is not provided herein, as the beginning and ending amounts of unrecognized benefits are zero, with no interim additions, reductions, or settlements. The school is relying on its tax-exempt status and its adherence to all applicable laws and regulations to preserve that status. However, the conclusions regarding the uncertainty in income taxes will be subject to review and may be adjusted at a later date based on factors including, but not limited to, ongoing analysis of tax laws, regulations, and interpretations thereof. The school's informational returns filed with the irs are generally subject to examination for three years after the later of the due date or date of filing. As a result, the school is no longer subject to income tax examinations by tax authorities for years prior to 2015.
