“The Board of Trustees, in addition to having overall responsibility for the management of this institution, shall have the following responsibility: a. Appoint an Executive Committee to carry the policies of the Board to run the Shree Ram Sharnam on a day-to-day basis. b. Conflict of Interest Policy:All tax-exempt records will be kept in compliance with Federal and State regulations. An independent CPA firm appointed by the Board of Trustees will conduct a check and audit of all financial records annually. Each member of the Executive Committee must sign a document to confirm that they have read the conflict-of-interest policy and will adhere to it. i. An annual audit of the Corporations books and records will be required by an independent CPA firm based on either of the following criteria: 1 Election of the Board of Trustees. 2. No Audit is required unless the Annual income of Shree Ram Sharnam, Inc. exceeds $750,000; as per Business State Regulation governing Charitable/religious non- profit Organizations solicitations. Maryland General Assembly in its 2016 Regular Session has passed Number SB010/Chapter 527 (Business Regulation- Charitable Organization-Audit and Review) Approved by the Maryland Governor-Chapter 527, now Statutes effective July 1,2016. ii. Review on a regular basis, accounting procedures, receipts and disbursement authorization procedures, and report all findings and recommendations to the Board of Trustees through the President. c. Require the Corporation to engage competent legal counsel and CPA as required. d. Appoint a Committee for Coordination of Prayer Services. This Committee shall advise the Board regarding Prayer Services. It shall consist of two members of the Spiritual/Religious Committee, two members of the Executive Committee and one member from the Board of Trustees or Endowment Trust Fund Committee. The previous President of the Board of Trustees is Ex-office members of this Committee. e. Appoint various standing Committee every two years and develop guidelines for these Committees, maintain complete control of all activities of all Committees. f. Appoint Constitution and By-Laws Committee and other Committees as needed. g. Shree Ram Sharnam, Inc., Trust (SRS) cannot be dissolved or merged with another Religious Non-Profit or any other organization. The assets must remain as it was founded and as listed in EIGHTH of the Articles of Incorporation within the meaning of section 501(c)(3) of the Internal Revenue Code or of any future Federal Tax Code. SRS Trust cannot be SOLD nor can it be DISSOLVED or merged with another Non-Profit or any other organization in any manner, It will remain its own entity as founded”
