“During november 2015, the foundation's board elected to cease operations at the bivins memorial nursing home facility, and to transition the location of its therapy services provided by bmnh to another facility (childers place) previously operated by a sister organization (betty bivins childers foundation). Once the transition is complete, bmnh will operate 40 therapy beds and 10 long-term care beds. The existing bmnh facility is expected to be leased to an unrelated 3rd party during 2017. The foundation decided to make this transition primarily because of continued operating losses and increased competition in long-term care facilities. As of september 30, 2016, management was in the process of implementing the transition plan which is expected to be completed by january 2017. As part of the transition plan, bmnh sold a majority of its medicaid bed licenses to an unrelated 3rd party for 612,000, and began the severance process for many of its employees. Direct costs incurred related to the transition of bmnh of approximately 307,000 are reported net of 612,000 of proceeds from the sale of medicaid bed licenses, and presented separately in the statement of activities for 2016.”

“The foundation is exempt from federal income tax under section 501(a) as an organization described in section 501(c)(3) of the internal revenue code (the code), and has been determined not to be a private foundation under section 509(a) of the code. As a result, income taxes are not included in the accompanying combined financial statements. The foundation complies with fasb asc topic 740, "accounting for uncertainty in income taxes" (topic 740), which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the foundation may recognize the tax benefit from an uncertain tax position only if it is more-likely-than-not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. The tax benefits recognized in the financial statements from such position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de- recognition, classification, interest and penalties on income taxes, and accounting in interim periods. Management evaluated the foundation's tax positions and concluded that the foundation had taken no uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance. With few exceptions, the foundation is no longer subject to income tax examinations by the u.s. Federal tax authorities for years ending before september 30, 2013.”

AS A RESULT, INCOME TAXES ARE NOT INCLUDED IN THE ACCOMPANYING COMBINED FINANCIAL STATEMENTS. THE FOUNDATION COMPLIES WITH FASB ASC TOPIC 740, "ACCOUNTING FOR UNCERTAINTY IN INCOME TAXES" (TOPIC 740), WHICH ADDRESSES THE DETERMINATION OF WHETHER TAX BENEFITS CLAIMED OR EXPECTED TO BE CLAIMED ON A TAX RETURN SHOULD BE RECORDED IN THE FINANCIAL STATEMENTS. UNDER THIS GUIDANCE, THE FOUNDATION MAY RECOGNIZE THE TAX BENEFIT FROM AN UNCERTAIN TAX POSITION ONLY IF IT IS MORE-LIKELY-THAN-NOT THAT THE TAX POSITION WILL BE SUSTAINED ON EXAMINATION BY TAXING AUTHORITIES, BASED ON THE TECHNICAL MERITS OF THE POSITION. THE TAX BENEFITS RECOGNIZED IN THE FINANCIAL STATEMENTS FROM SUCH POSITION ARE MEASURED BASED ON THE LARGEST BENEFIT THAT HAS A GREATER THAN 50% LIKELIHOOD OF BEING REALIZED UPON ULTIMATE SETTLEMENT. THE GUIDANCE ON ACCOUNTING FOR UNCERTAINTY IN INCOME TAXES ALSO ADDRESSES DE- RECOGNITION, CLASSIFICATION, INTEREST AND PENALTIES ON INCOME TAXES, AND ACCOUNTING IN INTERIM PERIODS. MANAGEMENT EVALUATED THE FOUNDATION'S TAX POSITIONS AND CONCLUDED THAT THE FOUNDATION HAD TAKEN NO UNCERTAIN TAX POSITIONS THAT REQUIRE ADJUSTMENT TO THE FINANCIAL STATEMENTS TO COMPLY WITH THE PROVISIONS OF THIS GUIDANCE. WITH FEW EXCEPTIONS, THE FOUNDATION IS NO LONGER SUBJECT TO INCOME TAX EXAMINATIONS BY THE U.S. FEDERAL TAX AUTHORITIES FOR YEARS ENDING BEFORE SEPTEMBER 30, 2013. |
