Governance Explanations

Form 990, Part VI, Line 3: Description of Delegated Duties to Management Company

The management company provides the following services to OWA:Provision of office space, furniture, fixtures, equipment, and utilities; staff to perform management, operational and administrative services necessary for OWA to execute its mission and goals.

Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder

There shall be one class of members. The requirements for membership shall be determined from time to time by the board of directors. An annual meeting of the members shall be held each year as determined by the board of directors. At the meeting, the members shall elect directors and transact such other business as may properly be brought before the meeting. A majority of members entitled to vote, present in person or represented by proxy, shall be required to constitute a quorem at meetings of the members for the transaction of business except as otherwise provided by law or these bylaws. When a quorem is present or represented at a meeting, the vote of a majority of the members entitled to vote shall be the act of the members unless a greater vote is required by law or these bylaws.each member shall be entitled to one vote on each matter submitted to a vote at a meeting of members.

Form 990, Part VI, Line 11B: Form 990 Review Process

The Treasurer reviews drafts of the tax returns and forwards a final draft to all board members for their review before the return is put in its final form for filing. The Form 990 is prepared by an outside CPA firm. A final draft of the Form 990 is sent to an officer for review prior to filing.

Additional Explanations

Form 990, Part III, Line 2: New Services

During 2017, the Optical Womens Association trialed a series of 6 regional networking events, specifically targeting cities with high concentrations of OWA members. These meetings lasted approximately 2 hours, each featuring a volunteer guest speaker or a discussion topic relevant to women in the optical industry or connected to an existing OWA program. The development portion of the meeting served as an ice-breaker to the remainder of the evening, where introductions, networking and a planned fun activity gave members an opportunity to interact personally and socially. These 6 trial events conducted during 2017 were so successfully attended (with more than 300 members served), a newly funded line item was added to the 2018 fiscal year budget to support a series of 12 regional events in cities throughout the United States.

OTHER PROGRAM SERVICES 4: The 18th Annual Pleiades Award recognized and honored an OWA member who has made a significant difference for women in the optical industry. OTHER PROGRAM SERVICES 5: The 2017 Annual Membership Directory (online for members only) was maintained in accordance with new and renewing members during 2017. The directory served as a tool for networking among the more than 700 OWA members and also provided consolidated access to 2017 event information on the optical industry calendar. OTHER PROGRAM SERVICES 6: Online query (Member Search), available in the OWA member only area for more than 700 fellow members throughout 2017, provided member access to the detailed member profile information, allowing members to search for fellow OWA members having expertise in various areas of the optical industry.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0During 2017, the Optical Womens Association trialed a series of 6 regional networking events, specifically targeting cities with high concentrations of OWA members. These meetings lasted approximately 2 hours, each featuring a volunteer guest speaker or a discussion topic relevant to women in the optical industry or connected to an existing OWA program. The development portion of the meeting served as an ice-breaker to the remainder of the evening, where introductions, networking and a planned fun activity gave members an opportunity to interact personally and socially. These 6 trial events conducted during 2017 were so successfully attended (with more than 300 members served), a newly funded line item was added to the 2018 fiscal year budget to support a series of 12 regional events in cities throughout the United States.

OTHER PROGRAM SERVICES 5: The 2017 Annual Membership Directory (online for members only) was maintained in accordance with new and renewing members during 2017. The directory served as a tool for networking among the more than 700 OWA members and also provided consolidated access to 2017 event information on the optical industry calendar. OTHER PROGRAM SERVICES 6: Online query (Member Search), available in the OWA member only area for more than 700 fellow members throughout 2017, provided member access to the detailed member profile information, allowing members to search for fellow OWA members having expertise in various areas of the optical industry.
