Governance Explanations

Form 990, Part VI, Section A, Line 4

The bylaws were amended to create a delegate body that will be formed from each class of membership. Article vi explains the functions of the delegate body to be: elect officers, elect board members, approve the budget as presented by the treasurer at the annual meeting, and as a voting body for bylaw changes recommended by the board of directors. Article v amends the election process of the board of directors. The delegate body will elect the board of directors within each of the three districts: north district, central district, and south district. A board of director's term is three years. The board of directors consist of six producer member seats that are current producer members of the association by individual membership or through e-membership. Three remaining seats must be associate members. The board members may select a tenth board member as a discretionary "at-large" member that serves an at-will position for a time determined by the current board.

The association was formed by the members to represent texas sorghum producers through programs of legislative and regulatory representation.

A delegate body will be formed from each class of membership. Elevators with functioning receiving facilities in two or more regions will have a producer from each region as a representative on the delegate body. The number of delegates is limitless. Corporate members that contribute $1,500 or more annually will have a representative on the delegate body. The number of delegates is limitless. Each region will elect two individual members to the delegate body by either caucus or a nomination/election process. Each region will elect, either by caucus or nomination/ballot, one e-membership elevator manager to the delegate body. Election to the board of directors from the delegate body will be kept within the three districts: north district, central district, and south district. A board of director's term is three years. Under no circumstance may one district caucus make recommendations to the board of directors from another district. The board of directors consist of six producer member seats that are current producer members of the association by individual membership or through e-membership. Three remaining seats must be associate members. Financial Statement Notes

PART X, LINE 2:

The association is exempt from federal income taxes under section 501(c)(6) of the internal revenue code. The association has adopted the "uncertain tax positions" provisions of accounting principles generally accepted in the united states of america. The primary tax position of the association is its filing status as a tax exempt entity. The association determined that it is more likely than not that their tax positions would be sustained upon examination by the internal revenue service (irs), or other state taxing authority. There were no penalties or interest recognized during the years ended september 30, 2016 and 2015. The association is no longer subject to u.s. Federal income tax examinations by federal taxing authorities for years before 2012.
