IRS990ScheduleO/GeneralExplanation/Explanation0CHANGES TO BY-LAWS (AMENDED FEBRUARY 2011): 2.1 (COMPLETE MODIFICATION) - THE PURPOSE OF THE ACA SHALL BE TO ENCOURAGE, FOSTER, AND PROMOTE THE INTEREST OF MOTORHOMING AMONG OWNERS OF FLEETWOOD'S AMERICAN ALLEGIANCE, AMERICAN DREAM, AMERICAN EAGLE, AMERICAN HERITAGE, AMERICAN TRADITION, AMERICAN REVOLUTION, REVOLUTION, AND LIMITED MOTOR HOMES, AS WELL AS ANY MOTORHOME PRODUCED IN THE FUTURE AND BADGED BY FLEETWOOD AS AN AMERICAN COACH (HEREINAFTER THE "ELIGIBLE MOTOR COACH(ES)"); AND TO PROVIDE AN ORGANIZATION ENCOURAGING CAMARADERIE, MOTORHOME RALLIES AND TRIPS, AND MOTORHOME INFORMATION EXCHANGE AMONG ITS MEMBER OWNERS, AS WELL AS INFORMATION EXCHANGE WITH THE MANUFACTUER OF THESE MOTORHOMES. 3.9 (NEW ADDITION) CHARTER MEMBERS OF THE ACA, WHOSE MEMBERSHIP NUMBERS ARE 174 OR LOWER, THAT CURRENTLY OWN AN ELIGIBLE MOTOR COACH, SHALL BE EXEMPT FROM ALL DUES, FEES, AND ASSESSMENTS DURING THEIR LIFETIMES. THOSE CHARTER MEMBERS WHO DO NOT OWN AN ELIGIBLE MOTOR COACH SHALL BE EXEMPT FROM ALL MEMBER DUES, FEES, AND ASSESSMENTS DURING THEIR LIFETIMES. HOWEVER, THEY WILL NOT BE PERMITTED TO VOTE IN THE ACA ELECTIONS. 4.1 (COMPLETE MODIFICATION) ALL RESIGNATIONS SHALL BE MADE IN WRITING OR BY ELECTRONIC MAIL AND SUBMITTED TO THE ACA MEMBERSHIP SERVICES CHAIRPERSON. 4.3 (COMPLETE MODIFICATION) MEMBERSHIP IN THE ACA IS AUTOMATICALLY TERMINATED AT THE TIME A PERSON NO LONGER OWNS AN ELIGIBLE MOTOR COACH. THE BOARD OF DIRECTORS MAY APPROVE AN EXCEPTION. 5.2 (COMPLETE MODIFICATION) ADDITIONAL REGULAR MEMBERSHIP MEETINGS MAY BE HELD AT EACH NATIONAL RALLY UPON A CALL BY THE BOARD OF DIRECTORS OR BY THE PRESIDENT. THE BOARD OF DIRECTORS MAY CALL A SPECIAL MEETING OF THE MEMBERSHIP AT A TIME, DATE, AND PLACE TO BE FIXED BY THE BOARD OF DIRECTORS, BUT UPON NOT LESS THAN FORTY-FIVE (45) DAYS NOTICE. 5.3 (NEW ADDITION) UPON PETITION IN WRITING OF TEN (10) OR MORE REGULAR MEMBERS, STATING SPECIFICALLY THE EXACT BUSINESS INCLUDING ANY MOTIONS TO BE TRANSACTED AT SUCH MEETING, A SPECIAL MEETING OF THE REGULAR MEMBERSHIP SHALL BE NOTICED BY THE SECRETARY TO ALL REGULAR MEMEBERS. SUCH MEETINGS ARE TO BE CONDUCTED AT A TIME, DATE, AND PLACE SELECTED BY SAID BOARD OF DIRECTORS OR BY THE PRESIDENT, NOT LESS THAN FORTY-FIVE (45) NOR MORE THAN ONE HUNDERD (100) DAYS AFTER RECEIPT OF SUCH PETITION. AT SUCH MEETING, ANY MEMBER SHALL BE ENTITLED TO VOTE BY MAIL-IN-BALLOT OR ELECTRONIC BALLOT ON SUCH TERMS AS DETERMINED BY THE BOARD OF DIRECTORS. 5.4 (ARTICLE # CHANGE & COMPLETE MODIFICATION) MOTORHOMES AT THE ACA NATIONAL RALLIES SHALL BE LIMITED TO ELIGIBLE MOTOR COACHES. 5.5 (ARTICLE # CHANGE) ATTENDANCE AT ALL OF THE ACA MEETINGS AND ACTIVITIES SHALL BE LIMITED TO MEMBERS OF THE ACA, THEIR FAMILY MEMBERS AND REGISTERED GUESTS STAYING IN THE ACA MEMBER'S COACH AND HAVE PAID A FEE TO ATTEND, REPRESENTATIVES OF FLEETWOOD MOTORHOMES, AND REPRESENTATIVES OF THOSE COMPANIES PROVIDING INTEGRAL COMPONENTS FOR AMERICAN COACH MOTOROHOMES. 5.6 (ARTICLE # CHANGE) ROBERTS RULES OF ORDER SHALL GOVERN THE CONDUCT OF ALL MEETINGS OF THE REGULAR MEMBERSHIP, EXCEPT AS OTHERWISE PROVIDED BY THESE BYLAWS. 5.7 (ARTICLE # CHANGE) EXCEPT AS OTHERWISE PROVIDED BY LAW OR BY THESE BYLAWS, ALL QUESTIONS SHALL BE DECIDED BY A MAJORITY OF VOTES CAST BY THE REGULAR MEMBER UNITS. 6.4 (COMPLETE MODIFICATION) IF A VACANCY OCCURS IN THE OFFICE OF PRESIDENT, THE VICE PRESIDENT SHALL AUTOMATICALLY SUCCEED TO THE OFFICE OF PRESIDENT FOR THE REMAINDER OF THE FORMER PRESIDENT'S TERM. IF BOTH THE PRESIDENT'S AND VICE PRESIDENT'S OFFICES BECOME VACANT, THE BOARD OF DIRECTORS SHALL APPOINT SUCCESSORS FOR THE UNEXPIRED TERMS OF THE FORMER PRESIDENT AND VICE PRESIDENT.
