Governance Explanations

Form 990, Part VI, Line 3: Description of Delegated Duties to Management Company

CLEER is a research affiliate of The Energy Council under common control. The Energy Council provides CLEER operating services and support including (1) space, equipment, supplies and other items necessary for day-to-day functioning of CLEER, (ii) conference dialogue services, and (iii) such other services and support as shall be agreed upon to by CLEER and The Energy Council.

Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder

The members of CLEER consist of legislators appointed to serve on The Energy Council, a Texas non-profit corporation, from its member states: Alabama, Alaska, Arkansas, COLORADO, Kansas, Louisiana, Mississippi,Montana, New Mexico, North Dakota, Oklahoma, Texas, West Virginia, and Wyoming. Membership in the council is limited to state legislators appointed by the legislative leadership from the member states. Each state has one vote.

Form 990, Part VI, Line 7A: How Members or Shareholders Elect Governing Body

The Chairman of the Board selects a nominating committee composed of one member from each of the member states. The nominating committee selects a slate of directors, composed of one member from each of the member states, to be presented to the members at the annual meeting. The members vote on the directors selected by the nominating committee.

Form 990, Part VI, Line 7B: Describe Decisions of Governing Body Approval by Members or Shareholders

The members elect the board of directors of CLEER and may remove from office at any time with or without cause any person appointed by the members to serve on the board of directors.

Form 990, Part VI, Line 11B: Form 990 Review Process

The form 990 is prepared by a cpa firm. Initially the cpa firm meets with the council's financial manager and cleer's administrator to discuss the draft of the form 990. Subsequently, the draft of the form 990 is presented by the cpa firm to cleer's board of directors at the annual meeting for their review. Finally, the return is signed and filed electronically by the cpa firm.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The policy is disseminated to each member of the board of directors and staff and to all new members of the board of directors upon appointment. The policy is reviewed at the annual meeting.

Financial Statement Notes

Part X : FIN48 Footnote

CLEER IS A not-for-profit organization, as defined in Section 501(c)(4) of the IRC that IS exempt from federal income taxes under Section 501(a) of the IRC. For the year ended June 30, 2020, CLEER did not conduct any unrelated business activities that would be subject to federal income taxes. Therefore, no tax provision or liability has been reported. GAAP requires the evaluation of tax positions taken in the course of preparing the Companys tax returns and recognition of a tax liability (or asset) if the Company has taken an uncertain position that more likely than not would not be sustained upon examination by the Internal Revenue Service. Management has analyzed the tax positions taken by the Company, and has concluded that as of June 30, 2020, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the consolidated financial statements.

For the year ended June 30, 2020, CLEER did not conduct any unrelated business activities that would be subject to federal income taxes. Therefore, no tax provision or liability has been reported. GAAP requires the evaluation of tax positions taken in the course of preparing the Companys tax returns and recognition of a tax liability (or asset) if the Company has taken an uncertain position that more likely than not would not be sustained upon examination by the Internal Revenue Service. Management has analyzed the tax positions taken by the Company, and has concluded that as of June 30, 2020, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the consolidated financial statements.
