“Delegation of control over management duties: the daily management of the emergency medicine residents' association (emra) is performed by the staff of american college of emergency physicians (acep) under a management agreement. These services are provided at cost to emra. All direction for actions is provided by the board of directors of emra. “Members or shareholders in organization: members must be interns, residents or fellows who are in training in emergency medicine or critical care. Medical students (allopathic and osteopathic) are encouraged to join the association. Membership eligibility extends after completion of a residency or fellowship with the alumni category of membership.”

“Members who may elect one or more members of the governing body: the representative council has the power to elect the officers and board of directors. The representative council consists of the members of the representative class. Each emergency medicine residency program recognized by the association has one resident representative. No representative shall be seated who is not a member of the association. No member of the board of directors may simultaneously serve as a representative to the representative council.”

If there is conflict and the board determines the conflict would impact the individual's decision making, the person would recuse themselves from discussion or vote.”
