The organization's original by-laws were drafted in 1985 and last amended in 2002. During the current tax year, the organization's by-laws were amended to incorporate best practices and reflect current board procedures.

Form 990, Part VI, Section B, Line 11

The organization's form 990 is prepared annually by the organization's public accounting firm, in partnership with the finance and accounting department and with significant contribution provided by the management team. The completed form 990 is reviewed by members of the audit committee and made available to the board of directors prior to submission to the irs. Directors' comments and contributions are taken into account for the final version of the form 990 that is submitted to the irs.

Form 990, Part VI, Section B, Line 12C

Any director, officer or member of a committee with board-delegated powers who has a direct or indirect financial interest, is an interested person with respect to any entity in the north texas public broadcasting, inc. System of which the corporation is a part, and he or she is an interested person with respect to all entities in the station's system. A person has a financial interest if the person has, directly or indirectly, through business, investment or family - a) a material ownership or investment interest in any entity with which the corporation has a transaction or arrangement, or b) a compensation arrangement with the corporation or with any entity or individual with which the corporation has a transaction or arrangement, or c) a potential material ownership or investment in, or compensation arrangement with, the entity with which the corporation is negotiating a transaction or arrangement. In connection with any actual or possible conflicts of interest, an interested person must disclose the existence of his or her financial interest and must be given the opportunity to disclose all material facts to the directors and members of committees with board delegated powers considering the proposed transaction or arrangement. Directors and the ceo should disclose the existence of possible conflicts of interest to the chairman of the board and officers should make disclosure to the ceo. The chairman of the board shall report to the executive committee any potential conflicts of interest. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he or she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.

Ntpb develops, implements and evaluates compensation policies/programs and pay structures that support the organization's strategic goals, objectives and values, based upon internal equity and external market conditions. Industry compensation data are gathered from pbs (public broadcasting service), npr (national public radio) and from public broadcasting stations in similar-sized markets. These data are considered by the executive committee of the board of directors to determine the compensation of the ceo. The ceo, cfo, and senior hr director determine the compensation for other key employees.

PART V, LINE 4:

The endowments consist of two funds established for the national endowment of the arts and educational purposes.

PART X, LINE 2:

The corporation is exempt from federal income tax under section 501(c)(3) of the internal revenue code (the code). The internal revenue service has also recognized the corporation as a public charity under section 509(a)(1) of the code. For the years ended june 30, 2014 and 2013, the corporation recognized approximately $8,000 and $13,000 of income taxes for unrelated business income, respectively. The financial accounting standards board (fasb) provides guidance for how uncertain tax positions should be recognized, measured, disclosed and presented in the financial statements. This requires the evaluation of tax positions taken or expected to be taken in the course of preparing the corporation's tax return to determine whether the tax positions are "more-likely-than-not" of being sustained "when challenged" or "when examined" by the applicable tax authority. Tax positions not deemed to meet the more-likely-than-not threshold would be recorded as a tax benefit or expense and liability in the current year. Management has determined that there are no material uncertain income tax positions. The corporation is no longer subject to u.s. Federal, state and local income tax examinations by tax authorities for years prior to 2008.
