“The north texas public broadcasting foundation's (foundation) form 990 is prepared annually by the foundation's tax advisor, in partnership with the finance and accounting department and with management review of north texas public broadcasting, inc (inc.), a related organization. The completed form 990 is presented to, reviewed by, and approved by the north texas public broadcasting audit committee of the board prior to submission to the irs. Their comments and contributions are taken into account for the final version of the form 990 that is submitted to the irs.”

“Any director, officer or member of a committee with board-delegated powers who has a direct or indirect financial interest, is an interested person with respect to any entity in the north texas public broadcasting, inc. System of which north texas public broadcasting foundation (foundation) is a part, and he or she is an interested person with respect to all entities in the station's system. A person has a financial interest if the person has, directly or indirectly, through business, investment or family - a) a material ownership or investment interest in any entity with which the foundation has a transaction or arrangement, or b) a compensation arrangement with the foundation or with any entity or individual with which the foundation has a transaction or arrangement, or c) a potential material ownership or investment in, or compensation arrangement with, the entity with which the foundation is negotiating a transaction or arrangement. In connection with any actual or possible conflicts of interest, an interested person must disclose the existence of his or her financial interest and must be given the opportunity to disclose all material facts to the directors and members of committees with board delegated powers considering the proposed transaction or arrangement. Directors and the ceo should disclose the existence of possible conflicts of interest to the chairman of the board and officers should make disclosure to the ceo. The chairman of the board shall report to the executive committee any potential conflicts of interest. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he or she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.”

“The north texas public broadcasting foundation's governing documents and conflict of interest policy are available upon request. The north texas public broadcasting foundation's audited financials are included in a consolidated audit report along with the north texas public broadcasting inc. (inc.), a related entity. The consolidated audit report is published at www.kera.org.”

“Nico leone is the chief executive officer for north texas public broadcasting, inc. (inc.), a related organization. As the chief executive officer of inc., nico leone is charged with the responsibility of managing the daily operations of the north texas public broadcasting foundation (foundation). As such, nico leone is included as an officer of the foundation and is reported in part vii, section a. Any amount shown as reportable compensation is for services rendered on behalf of both organizations, and unless otherwise noted in part vii, is paid by inc. North texas public broadcasting foundation and north texas public broadcasting, inc. Have identical governing boards as well. The hours reported on form 990, part vii, section a, column (b) represent the number of hours these individuals devote to both organizations. It would be administratively impracticable for members of the governing board, as well as for nico leone, to breakout their hours devoted to each organization.”
