Their comments and contributions are taken into account for the final version of the form 990 that is submitted to the irs.”

A person has a financial interest if the person has, directly or indirectly, through business, investment or family - a) a material ownership or investment interest in any entity with which the foundation has a transaction or arrangement, or b) a compensation arrangement with the foundation or with any entity or individual with which the foundation has a transaction or arrangement, or c) a potential material ownership or investment in, or compensation arrangement with, the entity with which the foundation is negotiating a transaction or arrangement. In connection with any actual or possible conflicts of interest, an interested person must disclose the existence of his or her financial interest and must be given the opportunity to disclose all material facts to the directors and members of committees with board delegated powers considering the proposed transaction or arrangement. Directors and the ceo should disclose the existence of possible conflicts of interest to the chairman of the board and officers should make disclosure to the ceo. The chairman of the board shall report to the executive committee any potential conflicts of interest. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he or she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.”

(inc.) develops, implements and evaluates compensation policies/programs and pay structures that support the organization's strategic goals, objectives and values, based upon internal equity and external market conditions. Industry compensation data are gathered from pbs (public broadcasting service), npr (national public radio) and from public broadcasting stations in similar-sized markets. These data are considered by the executive committee of the board of directors to determine the compensation of the ceo. The ceo, cfo, and senior hr director determine the compensation for other key employees.”

“Nico leone is the chief executive officer for north texas public broadcasting, inc. (inc.), a related organization. As the chief executive officer of inc., nico leone is charged with the responsibility of managing the daily operations of the north texas public broadcasting foundation (foundation). As such, nico leone is included as an officer of the foundation and is reported in part vii, section a. Any amount shown as reportable compensation is for services rendered on behalf of both organizations, and unless otherwise noted in part vii, is paid by inc. Nico leone became the chief executive officer in february, 2020 and therefore has no reportable compensation since the compensation is reported for the calendar year-end that occurs during the foundation's fiscal year. Prior to nico leone becoming the chief executive officer, mary a. Alhadeff was previously the chief executive officer for inc. North texas public broadcasting foundation and north texas public broadcasting, inc. Have identical governing boards as well. The hours reported on form 990, part vii, section a, column (b) represent the number of hours these individuals devote to both organizations. It would be administratively impracticable for members of the governing board, as well as for nico leone, to breakout their hours devoted to each organization.”
