“Process for determining compensation: The organization, a controlled affiliate of BHCS, recognizes that those chosen to lead the organization are vital to its ongoing success and growth. Thus, it must attract, retain and engage the highest quality officers and key employees to lead the organization and help BHCS maintain its national reputation for achieving high targets for medical quality, patient safety, and patient satisfaction. A significant portion of the organization's officers' and key employees' total compensation is based on significant performance achievements. This strategy, known as the Performance Award Program, places a greater emphasis on the importance of the organization achieving targeted improvements in the areas of people, quality, patient satisfaction and financial stewardship, annually. Total executive compensation is part of an integrated talent management strategy developed by the BHCS Board of Trustees and its Compensation and Governance Committee (C&G Committee) to attract, motivate, and retain the best leadership resources for the organization. Executive compensation is determined pursuant to guidelines outlined in the intermediate sanction rules under IRC Section 4958 including taking steps to meet the rebuttable presumption standard of reasonableness under Treasury Regulation 53.4958-6, as summarized below. When making compensation decisions, the organization compares itself to similar-sized, and structured businesses including other integrated health care service systems and other similar-sized organizations, both locally and nationally. The BHCS Board of Trustees and C&G Committee, on behalf of the organization, work directly with an independent compensation expert(s) to identify reasonable and competitive market rates as well as provide an annual review of the total compensation of the organization's top management officials and key employees. The C&G Committee is made up of members of the BHCS Board of Trustees, who are independent, community volunteers. Guided by the information provided by the independent compensation expert(s), the C&G Committee approves and recommends to the BHCS Board of Trustees salary increases, earned incentives, and benefit offerings for the organization's President, other officers and/or key employees to be comparable to similar organizations for similar services and/or positions. Furthermore, the C&G Committee is charged with the responsibility of reviewing annually the major elements of the executive compensation program to assure designs remain consistent with the business needs, market practices, and compensation philosophy. As part of the decision making process, the C&G Committee will often meet in executive session to discuss and review recommendations made by the independent compensation expert(s). During the executive session no officer or key employee whose compensation is being reviewed is present during these discussions. All decisions are contemporaneously documented in the C&G Committee minutes which are timely reviewed and approved by the C&G Committee.”

Effective March 1, 2014, BSW Holdings LLC was merged into BSW Holdings. BSW Holdings is now the sole member of BHCS and SWHC and has control and substantial reserved powers over all BHCS and SWHC material affiliates including the organization, as more fully described in the exemption application filed with the Internal Revenue Service for BSW Holdings.”

Our research focuses on the patient. This means our efforts are more than microscopic studies-they bring research to the patient's bedside. We work to understand the base of a disease, identify potential treatments or preventive therapies, and enroll patients in research trials. Established in 1984, BRI matches its research efforts with the strengths and expertise of the Baylor Health Care System's flagship hospital Baylor University Medical Center and other affiliated hospital's (Baylor) medical staff. Our mission is to improve the care and well-being of our community, nationally and internationally, through innovative research that is consistent with the mission, vision and values of Baylor Health Care SystemBRI has over 370 employees, including scientists, laboratory assistants, and research coordinators, who are located throughout Baylor. The results of the Institute's research-basic, applied and clinical-are reported in major scientific publications and at national and international medical meetings. Currently, more than 1,000 research studies are under way. Baylor receives millions of dollars in research funding annually, which helps further our current studies and charter new territory. Baylor Institute for Immunology Research (BIIR) focuses on the study of the immune system in oncology, infectious and autoimmune disease, and transplantation. Also, the institute is dedicated to moving new treatments from the bench to the bedside as efficiently as possible. In January of 2012, BIIR dedicated the Ralph Steinman Center for Cancer Vaccines after the late Nobel Prize-winning physician who first observed what would become known as a dendritic cell. Today, vaccines using dendritic cells and immunotherapies are thought to be viable treatments for many diseases from HIV to cancer. BIIR will double its research space by progressively opening 41,000 square feet of new labs in the recently opened Baylor Charles A. Sammons Cancer Center at Dallas.The Institute for Healthcare Research and Improvement (IHCRI) was established to improve the quality of health care across BHCS. IHCRI conducts and supports research related to clinical effectiveness, patient safety, health equity and health care quality improvement. The IHCRI collaborates with researchers at the local, state and national level and is involved in multisite research networks, including the Agency for Healthcare Research and Quality (AHRQ)-sponsored Accelerating Change and Transformation in Organizations and Networks. Genomics, metabolomics and proteomic tools are rapidly changing the way medicine is practiced. Targeted, precision medicine will soon be the standard of treatment for complex conditions such as cancer, autoimmune disease and cardiovascular disease. Work is being done to genetically fingerprint individuals, and then fuse it with research to create targeted therapies. BRI and BHCS have begun the work of creating a precision medicine institute. Towards this goal, Baylor University Medical Center at Dallas (BUMC) and BRI are creating a pilot project, developing a readily accessible clinical research database across many clinical specialties. Scientific inquiry into relatively rare medical disorders often results in a better understanding of common diseases and leads to new therapies. The goal of the Kimberly H. Courtwright and Joseph W. Summers Institute of Metabolic Disease (IMD) is to find innovative ways of diagnosing, understanding and treating rare or common disease caused by inborn errors of the metabolism hindering the body's production of energy from dietary protein, fats and carbohydrates.
