Governance Explanations

Form 990, Part VI, Section A, Line 8B

Committees do not have the authority to act on behalf of the governing body. All committees report to the governing board for any final decisions or approval.

Form 990, Part VI, Section B, Line 11B

The 990 is sent to the audit/finance committee for review and is presented to all members of the board of trustees.

Form 990, Part VI, Section B, Line 12C

Board of trustee members sign conflict of interest agreement annually.

Form 990, Part VI, Section B, Line 15

The process for salary compensation of the texas trees foundation executive director is set by the board of trustees search committee. To obtain a salary offer the existing executive directors salary is considered, average from comparatives from other urban forestry organizations are used, and qualifications are recognized to set the initial offer. Salary for the executive director is then offered with the ability of the executive director to negotiate to reach the accepting offer and present salary. The chair of the board makes the offer to the executive director. For purpose of this question there was no conflict of interest involved. A letter of acceptance, stating new hire date and compensation are written by the chairman of the board of trustees. Key employee salaries (finance manager, operations director and development director) are based on a range of average salaries in comparable organizations and are submitted to the board of trustees for review and approval. Compensation offered is based on the qualifications of the employee and the identified salary range and an offer is made. Raises are submitted by the executive director for all salaried employees for approval from the board of trustees yearly and those recommendations are based on the cola (http://www.ssa.gov/oact/cola/latestcola.html) and performance. All compensation and raises are approved by the board of trustees. This process has taken place since 2007 when a new executive director was hired.
