Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall be a standing committee that shall have, between meetings of the directors of this foundation, all of the power and authority with respect to all phases of the foundation's activities that the directors might have or could exercise if acting at a lawful meeting. It shall keep minutes of the transactions of its meetings and shall cause such minutes to be recorded in books kept for that purpose, and the current records shall be submitted to the board of directors at each of its meetings. It shall consist of the persons serving in the office of president, vice president, secretary and treasurer and no more than two (2) members of the board of directors appointed by the board of directors. The executive director shall be an ex-officio member of the executive committee entitled to attend and participate in all meetings and deliberations of the executive committee, but shall not be entitled to any vote. The president of the foundation shall serve as the chairperson of the executive committee.

The foundation will have "voting members and "non-voting members." only voting members shall be entitled to receive notice of, attend, and vote at meetings of the members.

The form 990 is prepared by the foundation's certified public accounting firm after the annual audit has been completed. The return is reviewed by the executive director. A copy of the return is provided to all members of the board of directors before the return is submitted to the irs.

Form 990, Part VI, Section B, Line 12C

The directors and officers of the foundation shall act in good faith, with undivided loyalty to the foundation and with the high degree of diligence, care and skill which reasonably prudent persons would exercise in the conduct of their own affairs. Specifically, the directors and officers of the foundation shall seek to avoid conflicts of interest with the foundation. A conflict of interest exists whenever a director or officer (including the spouse, siblings, parents or children of such director or officer) (referred to as an "interested person") has a material financial interest in a transaction or arrangement under consideration by the board of directors of the foundation or a committee of the board of directors having board authority. If the board of directors or any committee having board authority is considering entering any transaction or arrangement with an interested person or with any entity in which an interested person has a financial interest, (1) the interested person must disclose the potential conflict of interest to the board of directors or such committee, as the case may be, (2) the interested person must leave the meeting while the matter is discussed, and (3) if the interested person has any voting rights, the interested person may not vote on the matter (although the interested person may be counted in determining the presence of a quorum at a meeting of the board of directors or such committee, as the case may be). The conflict of interest policy requires officers and trustees to fill out a disclosure on an annual basis that is first reviewed by the associate director, then the executive director and treasurer and then the board.

The board of directors, in conjunction with the board of the unrelated but affiliated organization national cowgirl museum and hall of fame, reviews and approves the compensation of the executive director after comparison with the salaries of other executive directors for museums in fort worth. The process described here was last completed in 2024.

The number of employees listed as being on form w-3 is the total employee count for the filing organization. While the national cowgirl museum and hall of fame and the fort worth museum of science and history are unrelated but affiliated common paymasters for the foundation, the number of employees only includes the employee count for the foundation.

Financial Statement Notes

PART III, LINE 1A:

The foundation has a significant investment in museum collections. The collections include artifacts, publications and replicas which further the foundation's mission to honor and document the study of livestock production. As these collections are considered treasures, a fair value is not readily determinable and therefore is not disclosed in the financial statements. All collections accumulated by the foundation are governed by the foundation's collection management policy. These collections are held for public display and education rather than financial gain and are protected, cared for and preserved by the foundation. Any expenditures or receipts related to purchases, sales or insurance recoveries of collection items are reported separately in the statement of activities in the period in which they occur.

PART V, LINE 4:

The intended use of the organization's permanent endowment funds is to fund scholarships. Temporarily restricted funds are maintained to support the building fund and programs of the foundation.

PART X, LINE 2:

The foundation is a nonprofit organization as defined in section 501(c)(3) of the internal revenue service code (irc) that is exempt from federal income taxes under section 501(a) of the irc. Taxes are paid on net income earned from sources unrelated to the exempt purposes. There was no unrelated business income for the years ended december 31, 2024 and 2023. Gaap requires the evaluation of tax positions taken in the course of preparing the foundation's tax return and recognition of a tax liability (or asset) if the foundation has taken an uncertain position that more likely than not would not be sustained upon examination by the internal revenue. Management has analyzed the tax positions taken by the foundation, and has concluded that as of december 31, 2024 and 2023, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements.
