“The Executive Committee was activated in 2021. Per the bylaws, it shall be composed of the Chair of the Board, the immediate past Chair of the Board, the Secretary, the Treasurer, the Chair-Elect, and no more than two At-Large members who are appointed by the Chair of the Board as needed. The Executive Committee shall, subject to review by the Board, have and may exercise all of the authority and powers of the Board in the affairs of the Corporation when the Board is not in session, even though such authority and powers be herein provided or directed to be exercised by a designated Officer of the Corporation; provided that the foregoing shall not be construed as authorizing action by the Executive Committee with respect to any action which by statute, the Articles of Incorporation, or the Bylaws is forbidden to the Executive Committee. Authority to make decisions in the following areas is expressly withheld from the Executive Committee and must be decided by the Board at a regular Board Meeting: (a) Corporation budgetary issues, (b) major Corporation staffing issues, (c) Corporation policies and procedures, and/or (d) the encumbrance or sale of Corporation assets.”

Disclosure can be made via a disclosure statement or upon discovery during required perpetual scrutinizing of covered individuals' transactions, interests, and relationships. The Board, excluding any Director with the potential or actual conflict of interest, shall determine whether a conflict exists and whether the contemplated transaction may be authorized as just, fair, and reasonable to the Organization. The decision of the Board on these matters will rest in their sole discretion, and their concern must be the welfare of the Organization and the advancement of its purpose.”
