Amendments to by-laws: Article IV-Section 6-New language: A simple majority of the Board of Directors shall constitues a quorum. Article IV-Section 7- A vacancy may be declared as existing when a Board member has missed three (3) consecutive regular Board meetings without just cause and must be declared as existing when a Board member has missed all Board meetings in any one (1) year period without just cause. Article IV- Section 8- If deemed in the best interest of the Corporation, a director may be removed at any meeting of the members at which a quorum is present by the affirmative vote of two-thirds of the members present at such meeting, provided notice of potential removal of the director is contained in the notice of such meeting and at any meeting of the Board of Directors at which a quorum is present by the affirmation vote of two-thirds of the Board of Directors, provided notice of the potential removal of the director is contained in the notice of such meeting.
