Easter Seals - Central Texas, Inc. follows FEDCAP's conflict of interest policy. The conflict of interest policy is signed by appropriate Fedcap Employees annually. Each member of the Board of Directors signs the conflict of interest policy on an annual basis. Violation of the policy will subject an employee to disciplinary action or immediate discharge. Employees who have knowledge or suspicion of improper conduct or activities by other employees or outside parties doing business with Fedcap, are expected to immediately bring it to the attention of the CEO or Director of Human Resources. form 990, part vi, section b, line 15 Easter Seals - Central Texas, Inc. provided compensation to one individuals reported on Part VII of the Form 990, Tod Marvin; his compenstion is determined in accordance with the procedures outlines by Easter Seals - Central Texas, Inc's affiliate organization(as described below). All other compensation paid by: The Board of Directors has established a Compensation Committee of independent persons that have no personal interest in the proposed compensation agreement. In determining the President's compensation package, the compensation committee conducts an analysis of industry comparables for individuals performing similar job functions. Additional Explanations

general statement regarding the covid-19 pandemic

In March 2020, the World Health Organization officially declared COVID-19, a disease caused by the novel coronavirus, a pandemic. This caused many local and national governments, including New York State, to impose restrictions on business operations, travel and public gatherings. The outbreak has adversely impacted the level of economic activity around the world and disrupted normal business activity in every sector of the economy. To help mitigate the dramatic impact that COVID-19 had on ESCTs operations and financial viability, the organization took part in several governmental programs. In April 20, 2020, ESCT was granted a PPP loan in the aggregate amount of $1,356,335, pursuant to the Small Business Administration Paycheck Protection Program (the "SBA PPP") under the CARES Act, which was enacted March 27, 2020. The PPP Loan bears interest at a rate of 1% per annum, payable monthly commencing on November 1, 2020. Funds from the Loan may only be used for payroll costs, costs used to continue group health care benefits, mortgage payments, rent, and utilities. ESCT used the entire Loan amount for qualifying expenses. Under the terms of the SBA PPP, certain amounts of the Loan may be forgiven if they are used for qualifying expenses as described in the CARES Act. ESCT anticipates receiving full forgiveness of its PPP Loan. Form 990, Part VI, Section A, Line 6 Easter Seals - Central Texas, Inc.'s sole member is the Fedcap Group, Inc. FORM 990, PART VI, SECTION A, LINE 7A THE ORGANIZATION'S Bylaws reserve the power to the SOLE MEMBER to APPOINT, REPLACE or REMOVE the BOARD OF DIRECTORS (for any reason at any time). FIN 48 Fedcap Rehabilitation Services, Inc. is the sole member of Easter Seals - Central Texas, Inc. Easter Seals - Central Texas, Inc. does not receive its own standalone audited financial statements; its operations are included within the financial statements of its parent organization: Fedcap Rehabilitation Services, Inc. The FIN-48 footnote reproduced below is from the consolidated audited financial statements. Fedcap and its related entities follow guidance that clarifies the accounting for uncertainty in tax positions taken or expected to be taken in a tax return, including issues relating to financial statement recognition and measurement. This guidance provides that the tax effects from an uncertain tax position can only be recognized in the financial statements if the position is "more-likely-than-not" to be sustained if the position were to be challenged by a taxing authority. The assessment of the tax position is based solely on the technical merits of the position, without regard to the likelihood that the tax position may be challenged. Fedcap and its related entities are exempt from federal income tax under IRC section 501(c)(3), though they are subject to tax on income unrelated to their respective exempt purpose, unless that income is otherwise excluded by the Code. These organizations have processes presently in place to ensure the maintenance of their tax-exempt status; to identify and report unrelated income; to determine their filing and tax obligations in jurisdictions for which they have nexus; and to identify and evaluate other matters that may be considered tax positions. Fedcap and its related entities have determined that there are no material uncertain tax positions that require recognition or disclosure in the financial statements.

IRS990/Desc0Easter Seals Central Texas provides exceptional services to ensure all individuals with disabilities or special needs and their families have equal opportunities to live, learn, work, and play in their communities. Since 1937, Easter Seals Central Texas has been at the forefront of providing services that enable individuals to live with equality, dignity, and independence. More than 21,000 individuals across Central Texas are impacted by Easter Seals Central Texas every year. The Easterseals Central Texas Early Childhood Intervention (ECI) program serves babies and toddlers, aged birth to 36 months, with developmental delays or disabilities. Easterseals' staff of early childhood specialists, therapists, social workers, and other professionals work in homes, childcare facilities, and other community settings to conduct evaluations and provide services to children and their families. Service coordination with other agencies is provided at no cost and is an essential component for integrating services around family-centered goals.
