Governance Explanations

Form 990, Part VI, Section A, Line 1A

There are four board officers that are voting members of the executive committee, but only one of which is a voting member of the board of directors. Under nssa's by-laws, the executive committee exercises all the powers of the board of directors when the board is not in session. In most years, the board of directors is only in session once annually and all other board meetings are conducted by the executive committee comprised of these four individuals along with the nine committeemen.

Nssa has fee paying members with no ownership position. Members cannot approve significant decisions of the governing body or receive a share of the organization's profits or excess dues, or a share of the organization's assets upon dissolution. See form 990, part vi, section a, line 7a for more information.

Form 990, Part VI, Section A, Line 7A

The board of directors shall consist of members in good standing to hold office as follows: zones 1-8. Members of the board of directors from zones 1-8 shall be bona fide residents of and be elected from the various states of the united states and from the countries, provinces, territories or similar political subdivisions recognized by the association in ratio in each such state, country, province, territory or similar political subdivision of one director for a member population of 25 to 150; two directors for a member population of 151 to 300; three directors for a member population of 301 to 500; four directors for a member population of 501 to 750; and five directors for a member population over 750. Foreign national or u.s. Civilians having no status according to the status of forces agreements between the united states and foreign governments will be listed based upon their residence as reasonably determined by the association and will vote for directors based on their place of residence. In determining the number of directors for each state or other similar political subdivision shall include those members of the association eligible to vote in the zone 9 election who reside in said state or political subdivision. Zone 9. A total of seven directors will be elected by the members of the association who are active, reserve and retired members and veterans of the united states armed forces (the "military members"), provided, however, that each such military member may vote for zone 9 directors as set forth in this section 1(a)(ii), or such member's respective zone 1-8 directors as set forth in section 1(a)(i), but not both in any election year. One director will be elected by the military members from among the active, reserve, and retired military members, of each of the five military branches: army, air force, navy, marines and coast guard. Additionally, the military members shall collectively elect two additional armed services directors-at-large from among the veteran military members, but not active, reserve and retired members, of the united states armed forces. The board of directors at its annual meeting shall elect five directors-at-large of the entire association in even numbered years. All directors-at-large (whether of the armed services or the entire association) shall have full voting rights during their entire term of office. On january 1 of each even numbered calendar year the executive director shall determine, from the membership rolls of the association as of december 31, the number of directors for which each state, province or similar subdivision is entitled to vote and shall certify the same to the executive committee. Such committee shall forthwith inspect, correct, amend and approve such certification in accordance with article 4, sec. 1 hereof, and thereupon, the secretary of the association or the executive director shall prepare, certify and cause to be published the notices of election hereinafter provided. The executive director shall send an official ballot to each individual member in good standing of the association. Provided there are no directors to be elected in any election year from any state or other recognized subdivision or military group, no ballots need to be sent to individual members from such state or subdivision or military group.

The entire forms 990 and 990-t with all schedules attached were reviewed by nssa's upper management, the audit committee, the executive committee (in its capacity as the board), and the officers of the board. The tax returns were provided via email and all questions were answered to everyone's satisfaction before the tax returns were filed.

Form 990, Part VI, Section B, Line 12C

The written conflict of interest policy has been in place for several years. Employees and the governing body sign statements to confirm no conflict of interest exists. Board directors and officers are elected every two years at which time each completes a conflict of interest disclosure which is kept on file. If a conflict of interest arises, then nssa will evaluate the significance and implication of the conflict. Nssa may implement procedural changes, notify members, or take disciplinary action. There has been notification of potential conflicts of interest, but no violations.

Periodically studies from reliable sources, such as abbott langer, are consulted for our specific size, geographical region and industry type to ensure that compensation falls well below the upper limits of the grid.

The local and regional organizations are separate entities from the nssa both legally and financially, however, like members, they are affiliated with the nssa in order to (1) register targets for events at their respective regional / state levels; (2) enforce the official rules of the sport at the regional / state level; (3) to provide national members at their respective regional / state level, the opportunity to have a common local voice to the nssa's state directors and zone committeemen. Directors serve for a two-year period. Therefore, there may be some individuals that are listed in this reporting period because the individual served during the fiscal year and are considered current directors. Compensation amounts paid to directors has no correlation to their activities as directors. In all cases, the compensation paid is for professional contracted services as a certified tournament skeet referee. These directors contract their services to various other gun clubs throughout north america and would be hired by nssa regardless of whether or not they are currently directors.

The audit committee in conjuction with the executive committee assumes responsibility for oversight of the audit of its financial statements and selection of an independent accountant. This process has not changed from prior year.

Financial Statement Notes

PART III, LINE 4:

The nssa owns historical guns and shooting memorabilia, most of which are valued at $1,000 or less (the most valuable is worth roughly $10,500). They provide members and visitors more knowledge with the history and legacy of the sport.

PART V, LINE 4:

The nssa's current practice is to approve the annual budget for appropriation of expenditures. A formal spending or disbursement policy has not been adopted since nssa is building the endowment fund balance prior to appropriating amounts for expenditure.

PART X, LINE 2:

Uncertain tax provisions, if any, are recorded in accordance with accounting guidance for income taxes, which requires the recognition of a liability for tax provisions taken that do not meet the more likely than not standard that the position will be sustained upon examination by the taxing authorities. There is no liability for uncertain tax positions recorded at november 30, 2024 and 2023.
