A decision causing or permitting the corporation to make any capital expenditure with respect to any project or item or any series of related projects or items in excess of $1,000,000; 7. The power to amend or restate the certificate of formation (articles of incorporation) or the bylaws; 8. The power to dissolve, merge, or consolidate the corporation or effect any other fundamental business transaction as described in the business organizations code; 9. The power to mortgage, sell, purchase, lease, exchange, or pledge any real property of the corporation or substantially all of the personal property or assets of the corporation; and 10. The power to change the mission of the corporation.”

The interested person shall leave the board meeting while the financial interest is discussed and voted upon. The remaining board members or committee shall decide if a conflict of interest exists. Affected board members abstain from voting when there is a conflict of interest.”
