Between meetings of the organization's board the executive committee shall be empowered to do all acts and perform all functions which the board of trustees may itself, as well as perform such acts or functions as are necessary for the operation and management of the school.

Form 990, Part VI, Section A, Line 2

Form 990, Part VI, Section B, Line 11

The form 990 is reviewed by members of the finance committee and the treasurer of the board. Three of the finance committee members are on the board. After those finance committee members review the form, it is made available to the board of trustees.

Form 990, Part VI, Section B, Line 12C

Officers, trustees, and key employees are required to disclose, annually, interests that could give rise to conflicts. The president/chair of the board of trustees regularly and consistently monitors compliance with the policy. Should a conflict arise, the officer, trustee, or key employee is asked to resolve the potential conflict, or if not able to resolve it, they are asked to resign.

Form 990, Part VI, Section B, Line 15

Annual compensation review for the school's executive employees is conducted by a committee of the board of trustees. Comparative data is obtained from local and national associations for comparable data and the committee substantiates the deliberation contemporaneously. The same compensation process mentioned above is also used for the other officers and key employees of the organization. The last annual review was on august 18, 2015.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, 990 and financial statements are available to the public at the school's principal office, and upon request. The annual report of the school is available on the school website.

Form 990, Part III, Line 3

Effective august 1, 2015, the school entered into an agreement with the public education & business coalition ("pebc") to create a partnership joining the stanley teacher preparation ("stp") and the boettcher teacher residency programs, forming the largest residency-based teacher alternative licensure program in colorado. The agreement moved all operations of the stp program to the pebc.

Financial Statement Notes

PART V, LINE 4:

The school's endowment is comprised of four funds established by donors to provide funding for specific activities of the school as needed. The endowment also includes certain unrestricted net assets designated for endowment by the school's board of trustees. Net assets associated with endowment funds, including funds designated by the board of trustees, are reported based on the existence or absence of donor-imposed restrictions.

PART X, LINE 2:

The school is organized as a colorado nonprofit corporation and has been recognized by the internal revenue service (irs) as exempt from federal income taxes under section 501(a) of the internal revenue code as an organization described in section 501(c)(3). The school qualifies for the charitable contribution deduction under section 170(b)(1)(a)(ii), and has been determined not to be a private foundation under section 509(a)(1). The school is annually required to file a return of organization exempt from income tax (form 990) with the irs. In addition, the school is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purposes. The school has determined it is not subject to unrelated business income tax and has not filed an exempt organization business income tax return (form 990-t) with the irs.
