“The budget and finance committee review and the board approves the form 990 prior to filing with the irs.”

“All potential conflicts of interest within the headliners foundation shall be reported and reviewed to determine if the conflict is material. Dislcosure in the organization shall be reported to the executive director (or if he/she is the one with the conflict, to the board chair), who shall determine if a conflict exists and is relevant and if so, bring the conflict to the attention of the board. Disclosure involving the staff or governor shall be reported to the board chair, who shall bring the matter to the attention of the board. The board shall determine if a conflict exists and is relevant and whether the actions shall be authorized as just, fair and reasonable to the organization. The decision of the board on these matters will be at their sole discretion and their concern must be for the welfare of the organization and the advancement of its mission. A copy of this policy shall be given to all governors, officers and staff members upon commencement of such person's relationship with the headliners foundation or at the official adoption of the stated policy. Each governor, officer or staff member shall sign and date the policy at the beginning of her/his term of service. Failure to sign does not nullify the policy.”

“The budget and finance committee approves increases in the executive director's compensation, which is subsequently approved by the executive committee.”

“The organization's governing documents, conflict of interest policy, and financial statements are made available to the public upon request.”

“The finance comittee assumes responsibility for the oversight of the audit, review, or compilation of its financial statements and selection of an independent accountant.”
