During the tax year, the organization amended its bylaws to: - change the number of board members to no less than three and no more than eleven, with staggered terms, and to serve two-year terms instead of one- year; - clarify authority of officers to delegate tasks to agents of the corporation; - revise officer descriptions to conform to contemporary practices: - to permit one vice-president instead of multiple vice- presidents; - to describe treasurer's role similarly to tna treasurer's role and conform to contemporary practice; - revise committee descriptions, consolidate sections on committees, and clarify committee powers/limits of authority: - add audit/finance committee and governance committee as standing committees; - remove authority of vice-president to sign checks from default policy; and - update to permit virtual meetings, regardless of technological changes over time.

FORM 990 - ORGANIZATION'S MISSION

The texas nurses foundation (the "foundation") was established to receive contributions and provide funding to improve the health of texans through charitable initiatives that advance nursing practice, education, research, and/or leadership.

The tnf board approved awards to attend the texas nurses association (tna) annual conference. The foundation board of directors awards these funds to support the continuing nursing education of up to three (3) conference attendees. The foundation has written procedures for award eligibility, application and dissemination of awarded funds.

Form 990, Page 2, Part III, Line 4A

The texas peer assistance program for nurses (tpapn) is an approved peer assistance program under chapter 467 of the texas health and safety code. Tpapn's mission is to safeguard patients by providing early identification, support, monitoring, accountability, and advocacy to texas nurses who have an identified substance use and/or mental health condition or related incident, so they may safely practice nursing. Tpapn is a voluntary program that may serve as an alternative to texas board of nursing discipline. Additionally, tpapn provides education and outreach to the community to address stigma and promote early identification and intervention for nurses experiencing mental health and/or substance use issues. During the 2023-2024 fiscal year: 1,020 nurses were served 546 nurses were referred 219 nurses signed participation agreements 110 nurses completed tpapn 134 peer support partners tpapn holds peer support partner trainings monthly, tpapn lunch & learns quarterly and on request and has implemented a program that allows peer support partners to train either via virtual live courses or on-demand at their convenience while obtaining ce for many of the required training requirements.

The endownment will support the foundation's ability to continue clair's vision of providing reliable nursing and health care related information that promotes excellence and innovation in the the profession. The fund may be used to support nursing and healthcare researchers, sponsoring think tanks, or similar activities.

The most significant tax positions of the foundation are its assertion that it is exempt from income taxes and its determination of whether any revenue amounts are subject to unrelated business income tax (ubit). Management has determined that the foundation had no activities subject to ubit during the fiscal year ended june 30, 2024. All significant tax positions have been considered by management and it has determined that it is more likely than not that all tax positions would be sustained upon examination by taxing authorities.
