To provide effective, affordable and compassionate chemical dependency treatment to all those seeking recovery. The agency fulfills this mission by providing assessment, medical detoxification, residential and outpatient treatment services to men, women, and mothers with small children, and providing aftercare and recovery support services following treatment.

During the year, the organization amended its bylaws to: - terminate its relationship with the houston council on recovery and appoint its own directors and officers - allow the board of directors to select the executive committee of the board of directors at each annual meeting - authorize the executive committee, upon the vote of the majority of a quorum of the executive committee, to act in matter that could otherwise be taken by the board of directors - designate that a quorum for the transaction of business exists whenever a majority of the executive committee of the board, when a full board vote is required, is present in person - change the composition of the executive committee to the chairperson, vice chairperson, treasurer, secretary, and five other directors - change the composition of the board election committee to consist of five members designated by majority vote of the board of directors from among the board members

The conflict of interest policy requires that each director, prinicpal officer and member of a committee with board delegated powers annually sign a statement which affirms that such person has received a copy of the conflict of interest policy, has read and understands the policy, and has agreed to comply with the policy. The policy requires contemporaneous disclosure of all actual or potential conflicts of interest, together with indepedent board action to determine whether a conflict exists. The board is also empowered to determine violations of the conflict of interest policy and to take corrective action.

The austin recovery's personnel committee shall annually evaluate the excecutive director's performance. The committee or the human resources department will obtain research and information to make a recommendation to the full board for the compensation of the executive director based on a review of comparability data.

The organization's executive committee has the power to exercise all authority of the board for interim actions requiring action and approval by the board. The actions taken by the executive committee are reported to the board for ratification at a subsequent meeting. The executive committee may meet, when called by the chairperson or directed by the board of directors, and offer its advice and its recommendations to the board on the conduct, management, and control of all the corporation's affairs and property. The executive committee has the power to enter into contracts for services to be performed by the corporation.

Financial Statement Notes

PART X, LINE 2:

The most significant tax positions of austin recovery are its assertion that they are exempt from income taxes and its determination of whether any amounts are subject to unrelated business income tax (ubit). Management has determined that austin recovery had no activities subject to ubit during the fiscal year ended august 31, 2016. All significant tax positions have been considered by management and it has determined that it is more likely than not that all tax positions would be sustained upon examination by taxing authorities.
